Quick Answer
As of October 19, 2026, PennyMac Mortgage Investment Trust (NYSE: PMT, SEC CIK 1464423) has declared $0.40 per common share every quarter since at least Q1 2024, against diluted earnings of $0.23 in Q2 2026 and $0.16 in Q1, and a book value of $14.83 at June 30, 2026 (it was $16.13 at December 31, 2023). Over the ten quarters from Q1 2024 to Q2 2026 diluted EPS added up to $2.70 against $4.00 of dividends declared, 0.68 times (our arithmetic). In Q2 2026 net income to common was $20.5 million against $35.2 million of common dividends, 0.58 times, and $14.1 million of the $30.9 million net income was a tax benefit. In June 2026 PMT agreed to sell $13.0 billion of mortgage servicing rights (MSRs) and stopped buying Agency-eligible correspondent loans, to move equity into private-label credit. The Q3 2026 results are scheduled for after the close on October 29, 2026, so every figure here is June 30, 2026 or earlier.
Key Takeaways
- The dividend has not moved and earnings have not covered it. PMT declared $0.40 a share in each of the ten quarters from Q1 2024 to Q2 2026 ($1.60 a year, as in 2023, 2024 and 2025). Diluted EPS in those quarters was 0.39, 0.17, 0.36, 0.41, (0.01), (0.04), 0.55, 0.48, 0.16 and 0.23, a total of $2.70 against $4.00 (0.68 times, our arithmetic). The last four quarters were $1.42 against $1.60 (0.89).
- The company told investors to expect more. In its Q3 2025 release (October 21, 2025) it wrote: “We anticipate our earnings per share over the next year to average above our current dividend level.” EPS since then is $0.48, $0.16 and $0.23, $0.87 in three quarters against $1.20 of dividends; Q3 2026 would need $0.73 for the four quarters to average $0.40 (our arithmetic).
- “Net investment income” is a revenue line, not distributable income. PMT’s Q2 2026 net investment income was $72.7 million, but expenses were $55.9 million, leaving $16.8 million before tax. A $14.1 million tax benefit from hedging losses in its taxable subsidiary lifted net income to $30.9 million. After preferred dividends, pretax income in the first half of 2026 was $22.8 million against $70.1 million of common dividends (0.33, our arithmetic).
- Book value per share fell from $16.13 (December 31, 2023) to $14.83 (June 30, 2026), a $1.30 drop, which is the same $1.30 gap between $4.00 of dividends and $2.70 of EPS (our arithmetic). The reported book value of $14.83 is computed after deducting the $560 million preferred liquidation preference.
- The strategy is being rebuilt. In Q2 2026 the interest rate sensitive segment (MSRs and MBS) held an average of $1,187 million of allocated equity, 63% of the total, and earned a 3% annualized return; credit sensitive strategies held $411 million and earned 11%. In June PMT agreed to sell $13.0 billion UPB of MSRs (6.2% of its $208.4 billion servicing book) and stopped buying Agency-eligible correspondent loans. Subordinate bonds from its own securitizations rose to $853 million from $274 million a year earlier.
- Leverage went up with the securitizations. Total debt was $23.0 billion against equity of $1.85 billion (12.4 times, up from 7.8 times a year earlier); excluding non-recourse securitization debt it was 6.2 times. Repo was $8.4 billion, 93% of it due within 90 days (our arithmetic), and liquidity fell to $517 million from $880 million at December 31, 2025.
- PMT pays the PennyMac Financial group a fixed set of fees: $6.8 million of management fee, $19.6 million of servicing fees and $5.0 million of fulfillment fees in Q2 2026, $31.5 million together, 1.9 times its pretax income (our arithmetic). It has paid no performance incentive fee in 2023, 2024, 2025 or the first half of 2026.

The dividend against the company’s own earnings number
PMT does not publish a “distributable earnings” or “core earnings” figure. It reports GAAP net income and, in its segment tables, a non-GAAP “income excluding market-driven value changes” that it says “does not represent REIT taxable income.” So the test available to a shareholder is GAAP net income to common against the dividend. These are the last ten quarters as printed in each release:
| Quarter ended | Net investment income ($M) | Net income to common ($M) | Diluted EPS | Dividend declared | EPS / dividend | Book value |
|---|---|---|---|---|---|---|
| Mar 31, 2024 | 74.2 | 37.2 | $0.39 | $0.40 | 0.98 | $16.11 |
| Jun 30, 2024 | 71.2 | 15.0 | $0.17 | $0.40 | 0.43 | $15.89 |
| Sep 30, 2024 | 80.9 | 31.0 | $0.36 | $0.40 | 0.90 | $15.85 |
| Dec 31, 2024 | 107.9 | 36.1 | $0.41 | $0.40 | 1.03 | $15.87 |
| Mar 31, 2025 | 44.5 | (0.8) | $(0.01) | $0.40 | negative | $15.43 |
| Jun 30, 2025 | 70.2 | (2.9) | $(0.04) | $0.40 | negative | $15.00 |
| Sep 30, 2025 | 99.2 | 47.8 | $0.55 | $0.40 | 1.38 | $15.16 |
| Dec 31, 2025 | 93.6 | 41.9 | $0.48 | $0.40 | 1.20 | $15.25 |
| Mar 31, 2026 | 82.1 | 14.2 | $0.16 | $0.40 | 0.40 | $14.98 |
| Jun 30, 2026 | 72.7 | 20.5 | $0.23 | $0.40 | 0.58 | $14.83 |
The ratio column is our arithmetic on diluted EPS (the Q1 2024 diluted figure of $0.39 reflects the exchangeable notes then outstanding; basic EPS was $0.43). Two quarters of the ten were above the dividend by a wide margin (Q3 and Q4 2025) and two were losses. Calendar year net income to common was $157.8 million in 2023, $119.2 million in 2024 and $86.1 million in 2025, against common dividends of about $139.8 million, $138.9 million and $139.2 million (1.60 times the weighted shares, our arithmetic): 1.13, 0.86 and 0.62 times. For the first half of 2026 it was $34.6 million against $70.1 million, 0.49.
There is a clean way to see what this has cost. Book value was $16.13 per share at December 31, 2023 and $14.83 at June 30, 2026, down $1.30. Over the same ten quarters dividends declared were $4.00 and EPS $2.70, a gap of $1.30 (our arithmetic). Dividends beyond earnings come out of equity, so the two figures are the same number seen twice. The $1.60 annual dividend is 10.8% of the $14.83 book value (our arithmetic).
The company has said it expected this to change. The Q3 2025 release said: “We anticipate our earnings per share over the next year to average above our current dividend level, with continued strong performance and modest growth in book value per share.” The four quarters it was written for are Q4 2025 to Q3 2026. The first three came in at $0.48, $0.16 and $0.23, $0.87 against $1.20 (our arithmetic). For the statement to hold, Q3 2026 EPS would have to be $0.73 or more. The Q3 results are due on October 29.
“Net investment income” is not what a BDC reader thinks it is
Search “pmt net investment income” and the number is $72.7 million for Q2 2026. For a business development company, NII is what is left after expenses and is what funds the dividend. For PMT it is a revenue line: servicing fees net of MSR value changes and hedging, gains on loans, gains on investments and net interest, before $55.9 million of expenses.
| Q2 2026 income statement | $ million | Note |
|---|---|---|
| Net loan servicing fees | 40.0 | Servicing fees of $149.5M less MSR fair value change of $(81.5)M and hedging of $(32.8)M, plus $4.9M recapture from PFSI |
| Net gains on loans held for sale | 15.3 | Aggregation and securitization |
| Net gains on investments and financings | 22.3 | Includes CRT investments and securitized loans |
| Net interest expense | (7.1) | Interest income $304.3M, interest expense $311.3M |
| Net investment income | 72.7 | Before expenses |
| Total expenses | (55.9) | Includes $19.6M servicing, $6.8M management, $5.0M fulfillment |
| Income before income taxes | 16.8 | |
| Benefit from income taxes | 14.1 | Hedging losses in the taxable REIT subsidiary |
| Net income | 30.9 | |
| Preferred dividends | (10.5) | |
| Net income to common | 20.5 | $0.23 per share |
Expenses took 77% of net investment income (our arithmetic). Of net income of $30.9 million, $14.1 million, 46%, was the tax benefit. In the first half of 2026 pretax income was $43.7 million and net income $55.5 million after an $11.8 million benefit. For 2025 pretax income was $93.8 million, the tax benefit $34.1 million (an effective rate of (36.3)%) and net income $127.9 million. Pretax income less the $41.8 million of preferred dividends was $52.0 million for 2025 against about $139.2 million of common dividends, 0.37 times; for the first half of 2026 it was $22.8 million against $70.1 million, 0.33 (our arithmetic). The benefit is real GAAP income. The 10-K explains it as the taxable subsidiary losing money (a pretax loss of $197.1 million in 2025) and it is the REIT-level result that is distributed.
Taxable income: what the REIT must distribute
A REIT has to distribute at least 90% of its taxable income, and PMT’s 10-K shows how little of its GAAP result is REIT taxable income. For 2025 the 10-K reconciliation shows:
| 2025 ($ million) | GAAP | Taxable total | Taxable subsidiary (TRS) | REIT |
|---|---|---|---|---|
| Net loan servicing fees | 48.9 | 505.0 | 505.0 | - |
| Net gains on loans acquired for sale | 52.2 | (232.7) | (232.7) | - |
| Net investment income | 307.5 | 289.4 | 74.2 | 215.2 |
| Expenses | 213.6 | 211.3 | 181.0 | 30.3 |
| REIT dividend deduction | - | 184.9 | - | 184.9 |
| Net income (loss) after tax | 127.9 | (106.8) | (106.8) | - |
Net investment income at the REIT level was $215.2 million, expenses $30.3 million and the dividend deduction $184.9 million, which leaves no taxable income in the REIT. Common and preferred dividends declared for 2025 were about $181.0 million ($139.2 million plus $41.8 million, our arithmetic); the difference is timing. So the REIT distributed what it earned at REIT level, which is consistent with a dividend set by REIT taxable income and not by GAAP net income, which is driven by MSR fair value and hedging. The two diverge widely: the MSR line alone is $48.9 million of GAAP net loan servicing fees against $505.0 million for tax, all of it in the taxable subsidiary.
The tax character for shareholders in the 10-K: 100% of 2025 common dividends were ordinary income and all of that qualified for the Section 199A deduction; 2024 was 100% ordinary income, 27% qualified dividend income and 73% Section 199A; 2023 was 19% ordinary income and 81% return of capital. Your Form 1099-DIV governs. See our pages on return of capital, the Section 199A deduction and the 1099-DIV due date.
Where the equity sits: MSRs against credit
PMT reports three segments, and the Q2 2026 release shows how the equity is allocated and what it earned:
| Q2 2026 | Pretax income ($M) | Weighted average equity allocated ($M) | Annualized ROE |
|---|---|---|---|
| Credit sensitive strategies (CRT, subordinate bonds) | 11 | 411 | 11% |
| Interest rate sensitive strategies (MSRs, MBS) | 9 | 1,187 | 3% |
| Aggregation and securitization | 11 | 215 | 21% |
| Corporate | (15) | 58 | (3)% |
The interest rate sensitive segment held 63% of allocated equity (our arithmetic) and made $9 million. Its MSR portfolio had a fair value of $3,576 million on $208.4 billion UPB, a multiple of 6.2 times a servicing fee of 0.28%. The MSR cash flows run off steadily: realisation of MSR cash flows was $100 million in Q2 and $107 million in Q1. Net loan servicing fees swing with valuation and hedges: $84 million in Q1 2026, $40 million in Q2.
| Quarter | MSR fair value ($M) | MSR UPB ($M) | Net loan servicing fees ($M) |
|---|---|---|---|
| Q2 2025 | 3,739 | 221,632 | 24 |
| Q3 2025 | 3,669 | 218,799 | 15 |
| Q4 2025 | 3,645 | 215,782 | 37 |
| Q1 2026 | 3,624 | 212,199 | 84 |
| Q2 2026 | 3,576 | 208,427 | 40 |
The CEO described the June move in the Q2 release: “we took the initial steps in what we believe will be a series of actions to reduce our exposure to mortgage servicing rights (MSRs), agreeing to sell $13 billion in unpaid principal balance (UPB) of MSRs and electing to stop Agency-eligible loan acquisitions in our correspondent channel.” The 10-Q puts it in a subsequent events note: an agreement entered into in June 2026 to sell conventional MSRs with UPB of about $13.0 billion, expected to close in August 2026. That is 6.2% of the servicing book (our arithmetic). The filings do not state a price or a buyer, and the 10-Q was filed on August 4, before the expected close; whether it has closed will be in the Q3 report. The release says the aim is to redeploy the capital into “organically-created credit investments with return potential in the low-to-mid teens.”
The credit side is growing from PMT’s own securitizations:
| Q2 2025 | Q3 2025 | Q4 2025 | Q1 2026 | Q2 2026 | |
|---|---|---|---|---|---|
| Subordinate MBS from PMT securitizations, fair value ($M) | 274 | 361 | 546 | 735 | 853 |
| Private label securitizations closed in the quarter | 4 | 4 | 8 | 8 | 6 |
| UPB securitized in the quarter ($M) | 1,385 | 1,472 | 2,796 | 2,838 | 2,182 |
| Organically-created CRT investments, fair value ($M) | 1,049 | 1,019 | 998 | 962 | 938 |
| CRT 60+ day delinquency rate | 1.3% | 1.5% | 1.5% | 1.4% | 1.2% |
| CRT weighted average current LTV | 43.4% | 46.0% | 46.2% | 46.4% | 45.4% |
Loans at fair value on the balance sheet rose from $4.6 billion to $12.5 billion over the year, and asset-backed financing of the securitization trusts from $4.2 billion to $11.4 billion. That is why total assets are $25.1 billion on $1.85 billion of equity. After quarter-end PMT closed two more securitizations ($692 million UPB), generating $36 million of net new subordinate bond investment. The older CRT book is running off, down from $1,049 million to $938 million in a year.
Leverage, repo and what comes due
| Jun 30, 2025 | Sep 30, 2025 | Dec 31, 2025 | Mar 31, 2026 | Jun 30, 2026 | |
|---|---|---|---|---|---|
| Total shareholders’ equity ($M) | 1,866 | 1,879 | 1,887 | 1,867 | 1,853 |
| Repurchase agreements ($M) | 6,827 | 7,708 | 8,019 | 7,301 | 8,395 |
| Total debt ($M) | 14,589 | 16,309 | 19,132 | 20,319 | 22,955 |
| Debt / equity | 7.8x | 8.7x | 10.1x | 10.9x | 12.4x |
| Debt excluding non-recourse / equity | 5.6x | 5.8x | 6.0x | 5.6x | 6.2x |
| Total liquidity ($M) | 778 | 772 | 880 | 611 | 517 |
Total debt includes $11.4 billion of asset-backed financing of the securitization trusts, which is non-recourse to PMT; the company shows both ratios. The recourse picture is the second line: 6.2 times, against 5.6 times a year ago. Liquidity (cash and short-term investments of $421 million plus $96 million available to draw on facilities with collateral pledged) is 41% below December 31 (our arithmetic).
Repurchase agreements, $8,398 million of unpaid principal at June 30, 2026 at a weighted rate of 4.49%, mature like this:
| Remaining maturity at June 30, 2026 | Repo balance ($M) | Share (our arithmetic) |
|---|---|---|
| Within 30 days | 3,324.4 | 39.6% |
| Over 30 to 90 days | 4,505.4 | 53.6% |
| Over 90 to 180 days | 56.8 | 0.7% |
| Over 180 days to 1 year | 0.0 | 0.0% |
| Over 1 year to 2 years | 511.4 | 6.1% |
| Total | 8,398.0 | 100% |
The weighted average maturity was 2.2 months, total repo facility size was about $13.5 billion, and the 10-Q states that “All repurchase agreements that matured between June 30, 2026 and the date of this Report have been renewed, extended or replaced.” Committed borrowing capacity was $244 million (it was $595 million at December 31, 2025) and uncommitted $4.9 billion. The largest counterparty exposure on the loan and MSR repo is $473.6 million at risk to Atlas Securitized Products, 25.6% of equity, and the twelve counterparties together are $950.5 million, 51% of equity (our arithmetic). The 10-Q notes that PMT is subject to margin calls and may have to repay before maturity if collateral values fall.
The longer-dated debt, from the 10-Q:
| Instrument | Unpaid principal ($M) | Maturity |
|---|---|---|
| CRT term notes 2024-1R | 250.1 | March 1, 2027 |
| CRT term notes 2024-2R | 203.0 | March 29, 2027 |
| CRT term notes 2024-3R | 130.4 | September 27, 2028 |
| Fannie Mae MSR term notes (2024) | 355.0 | December 27, 2027 (option to June 26, 2028) |
| Fannie Mae MSR term loans (2023) | 370.0 | May 25, 2028 (option to May 25, 2029) |
| Freddie Mac MSR financing agreements | capacity about $2.0 billion | various dates through August 2026 |
| 8.50% senior notes | 53.5 | September 30, 2028 |
| 8.50% exchangeable senior notes | 366.5 | June 1, 2029 |
| 9.00% senior notes | 172.5 and 105.0 | February 15, 2030 and June 15, 2030 |
The Freddie Mac MSR financing agreements are the nearest date (through August 2026); the 10-Q does not say whether they were renewed. The exchangeable notes convert at 63.3332 shares per $1,000, about $15.79 a share (our arithmetic), above the $14.83 book value.
The relationship with PennyMac Financial (PFSI)
PMT is “externally managed by PNMAC Capital Management, LLC, a wholly-owned subsidiary of PennyMac Financial Services, Inc.” PennyMac Loan Services (PLS), also a PFSI subsidiary, subservices its MSRs, fulfills and now first buys its correspondent loans, and pays it MSR recapture income. The agreements all expire on December 31, 2029 with an automatic 18-month renewal.
| Fee to the PFSI group | Q2 2026 ($M) | Q2 2025 ($M) | How it is set |
|---|---|---|---|
| Base management fee | 6.8 | 6.9 | 1.5% a year of equity up to $2B, 1.375% from $2B to $5B, 1.25% above |
| Performance incentive fee | 0.0 | 0.0 | 10%, 15% and 20% of net income above 8%, 12% and 16% ROE, with a high watermark; none in 2023 to H1 2026 |
| Loan servicing fees | 19.6 | 21.6 | Per loan per month: $7.00 fixed-rate, $8.00 adjustable since October 1, 2025 (from $7.50 and $8.50) |
| Loan fulfillment fees | 5.0 | 5.8 | Capped per loan commitment or purchase, per the mortgage banking services agreement |
| Total of the three | 31.5 | 34.3 | Our arithmetic |
| MSR recapture fees received from PLS | 4.9 | 1.5 | 70%, 50% and 40% of MSR value on recaptured loans by recapture rate |
The three fees were 1.9 times pretax income in Q2 2026 (our arithmetic). That is a statement about fixed fees, not a judgment: the base fee is on equity (average shareholders’ equity of $1,820.9 million), servicing is per loan, and neither is a share of profit. The incentive fee pays only on net income above an 8% return on common equity plus a high watermark; the 10-K reports a return on average common equity of 11.1% for 2023, 8.4% for 2024 and 6.3% for 2025, and no incentive fee was paid in any of them. If the management agreement is terminated, PCM may be owed three times the sum of the average annual base and incentive fees over the prior 24 months, which on the 2025 base fee of $27.6 million would be about $83 million (our arithmetic, the incentive fee being zero).
The June decision changes the flow: PMT elected to stop buying Agency-eligible conventional loans in June, conventional conforming acquisitions were $1,371 million in Q2 (15% of PFSI’s conventional conforming correspondent production, from 18%), and acquisitions of loans from PFSI production for private-label securitization were $2.2 billion, up 44% on Q1.
Preferred stock, buyback and share count
PMT has 22.4 million preferred shares with a $560 million liquidation preference: Series A (8.125%, 4.6 million shares), Series B (8.00%, 7.8 million) and Series C (6.75%, 10.0 million). They cost $10.455 million a quarter, $41.8 million a year, and sit ahead of the common. Series A and B have been redeemable since March and June 2024; Series C became redeemable on August 24, 2026, after the 10-Q date. Q3 2026 preferred dividends of $0.507813, $0.500000 and $0.421875 a share were declared with a September 1 record date and paid on September 15, 2026. The 10-Q also discloses a putative class action by a preferred holder over the fixed rate set for Series A and B after LIBOR ended; the Ninth Circuit appeal is pending and the company has recorded no accrual.
On the common, the authorization is $500 million and cumulative repurchases are $427.2 million, with $73.4 million left; PMT bought no shares in the first half of 2026. A $200 million at-the-market program has sold nothing. The share count has barely moved: 87.2 million at July 31, 2026, 87,202,362 shares, against 86.7 million weighted shares in Q1 2024. Unlike Dynex or Annaly, per-share numbers here are not diluted by issuance.
What changed in the latest quarter
- Dividend $0.40 (unchanged); EPS $0.23 against $0.16; net income to common $20.5 million against $14.2 million; book value $14.83 against $14.98.
- Pretax income fell to $16.8 million from $26.9 million; the tax benefit was $14.1 million against $2 million tax expense in Q1.
- Net loan servicing fees $40 million against $84 million, as valuation gains fell ($19 million against $46 million) and hedging losses rose ($33 million against $12 million).
- Six private-label securitizations ($2.2 billion UPB) and $120 million of new subordinate bond investment; $486 million of Agency floating-rate MBS bought.
- June: $13.0 billion MSR sale agreed, Agency correspondent purchases stopped. Debt to equity 12.4 times against 10.9.
When the next filing arrives
PMT announced on October 8, 2026 that it will report third-quarter results in a release after the market close on Thursday, October 29, 2026, with a call at 6:00 p.m. Eastern. The latest PMT filings on EDGAR when we checked on October 19 were Form 144s on September 1 and October 1, 2026 (insider sale notices); the last periodic report is the Form 10-Q of August 4. We did not read a declaration of the Q3 2026 common dividend, so this page treats $0.40 as the rate through Q2. The Q2 10-Q followed its release by six days (July 29 and August 4, 2026) and the Q3 2025 10-Q by eight (October 21 and 29, 2025), so the Q3 2026 10-Q should land in early November (our inference from past dates, not a company statement). Check five things: EPS against the $0.73 needed, book value against $14.83, whether the $13 billion MSR sale closed and at what gain or loss, debt to equity against 12.4 times, and liquidity against $517 million.
How PMT compares with the other mortgage REIT pages
PMT is a hybrid: it manufactures mortgage assets through a sister company’s pipeline, keeps the servicing, and now sells part of it. Our Rocket Companies page shows the originator and servicer side of that chain. Redwood Trust is the closest peer in private-label securitization and MFA Financial reports a distributable-earnings measure that PMT does not have. Dynex is an internally managed agency REIT, the opposite of PMT’s external management. Compared with a non-traded REIT or interval fund, PMT’s book value is marked every quarter and its shares trade daily; the filings give the book value, not what anyone would pay.
What a shareholder can do with this
- Read the dividend against GAAP income, not net investment income. EPS was $0.23 against $0.40 in Q2 and $2.70 against $4.00 over ten quarters. The company’s own expectation, written in October 2025, was for an average above the dividend over the next year.
- Look at the tax benefit. $14.1 million of Q2 net income, 46%, came from it; before tax, income less preferred dividends covered 0.33 of the first-half common dividend.
- Watch the MSR sale and the redeployment. The segment holding 63% of equity earned 3%; the plan is to move equity to credit with returns the company describes as low-to-mid teens. That is a target, not a result.
- Check leverage and liquidity each quarter. Debt to equity is 12.4 times (6.2 times without non-recourse debt), repo is mostly under 90 days, and liquidity has fallen for three quarters.
- Know the tax side. Your Form 1099-DIV governs: 100% of 2025 common dividends were ordinary income with Section 199A treatment.
- Price is outside this page. This page does not say whether to buy, hold or sell.
