RWAY Stock: Dividend Cover, Marley Spoon Risk and the SWK Deal

Quick Answer
As of October 18, 2026, RWAY stock's latest declared quarterly dividend was $0.33 per share, compared with $0.43 of net investment income per share in the quarter ended June 30, 2026. June NAV was $11.91 per share. That is dividend coverage for a historical quarter, not a promise about the next payment. The October 13, 2026 portfolio update adds a more urgent question: Marley Spoon received approximately $5.6 million of bridge funding during the third quarter after already appearing in June's non-accrual table. The SWK acquisition closed on April 6, 2026; it is no longer a pending merger. Separate the June accounts, the September portfolio activity and the October debt financing before deciding what the dividend tells you. Sources: June 10-Q, August earnings exhibit, October portfolio exhibit.
Key Takeaways
- The $0.33 regular dividend was 76.7% of Q2 2026 NII per share of $0.43 (our arithmetic). Cash dividends paid were $14.014 million against $18.191 million of NII, or 77.0% (our arithmetic). These are different denominators and neither is a cash-flow forecast.
- June non-accruals were $53.713 million at cost and $45.034 million at fair value, or 3.78% of total portfolio fair value. Marley Spoon accounted for $43.137 million of that fair value; Mingle Healthcare accounted for $1.897 million. The percentage is not a percentage of loan principal.
- The October 13 update disclosed $139.4 million of third-quarter liquidity events against $8.5 million of follow-on funding. It also described a Marley Spoon bridge loan and restructuring. Repayments release capital but also remove earning assets.
- SWK changed both the portfolio and the share count. The June 10-Q records 6,330,509 shares issued for the acquisition and $14.4 million of investment purchase discount. Neither acquired investments nor accounting discount accretion should be mistaken for organic loan growth.
- On October 1, 2026, RWAY closed $46,329,125 of 7.75% notes due October 1, 2031. It scheduled redemption of $32,969,000 of inherited SWK notes for November 3, 2026. The redemption was still prospective at this article's cutoff.

The dividend clears NII; that does not settle the credit question
Runway lends to late- and growth-stage businesses and holds warrants and equity alongside loans. A shareholder owns the listed lender, not direct ownership of each borrower. The BDC structure guide explains why income, portfolio marks and leverage all matter.
| Measure | Reported result | What the comparison means |
|---|---|---|
| Q2 2026 regular dividend per share | $0.33 | Declared for the quarter; paid June 2, 2026 |
| Q2 2026 NII per share | $0.43 | Dividend / NII: 76.7% (our arithmetic) |
| Q2 2026 NII | $18.191 million | Income after operating and financing expenses |
| Q2 2026 dividends paid | $14.014 million | 77.0% of NII dollars (our arithmetic) |
| H1 2026 dividends declared / NII per share | $0.66 / $0.74 | A longer earnings window than one quarter |
| Q3 2026 dividend declared August 5, 2026 | $0.33 per share | Record August 17; payable August 31, 2026 |
The two coverage ratios are deliberately separate. Per-share NII uses weighted average shares, while actual dividends reflect the shares entitled to each payment. An acquisition and repurchases make a dollar cross-check useful. All entries above come from the June 10-Q and its accompanying earnings exhibit.
NII is an accrual measure. The quarter included $1.546 million of payment-in-kind interest income, which adds to an investment rather than arriving as an ordinary cash interest payment. The incentive-fee line was a $0.199 million credit, not a positive expense. These items do not invalidate coverage, but they make extrapolating that quarter's margin unsafe.
The investment marks tell a different story from recurring income. Q2 showed $45.257 million of net realized losses and $54.259 million of net unrealized gains, including the filing's currency and borrowing items. Management attributes much of the unrealized gain to releasing prior unrealized losses when Marley Spoon and Blueshift loans were restructured. A reversal accompanying realization is not independent evidence that borrowers recovered. For the first half, net assets decreased by $7.624 million from operations despite positive NII.
Marley Spoon dominates the non-accrual table
| June 30, 2026 non-accrual exposure | Cost | Fair value | Share of total portfolio fair value |
|---|---|---|---|
| Marley Spoon SE | $48.956 million | $43.137 million | 3.62% |
| Mingle Healthcare Solutions | $4.757 million | $1.897 million | 0.16% |
| Total | $53.713 million | $45.034 million | 3.78% |
Source: the 10-Q's Asset Quality non-accrual table. Marley Spoon was 95.8% of non-accrual fair value (our arithmetic: $43.137 million divided by $45.034 million). At December 31, 2025, the disclosed non-accrual fair-value percentage was 0.25%. Adding borrowers through SWK also changes the portfolio denominator, so the two percentages are not a fixed-pool default study.
Non-accrual means the lender has stopped recognizing interest under its collectibility policy; it does not mean the remaining fair value is cash recoverable on demand. The June table shows $4.207 million of forgone income accumulated from the investments' respective non-accrual dates. That is not a quarterly income loss: Mingle's start date predates Marley Spoon's.
The August earnings release mentions both Blueshift and Marley Spoon moving to non-accrual at the end of the first quarter. The June quarter-end non-accrual table lists Marley Spoon and Mingle. Those disclosures describe different points in time; this page does not add Blueshift to the June total a second time.
October's update: capital coming back, bridge money going out
The October 13, 2026 update filed with the SEC reports the following activity for the quarter ended September 30, 2026.
| Third-quarter activity | Amount | Reading for a holder |
|---|---|---|
| Extensiv loan repaid in full | $72.3 million | Principal released; the earning asset leaves |
| Route 92 Medical repaid in full | $35.0 million | Principal repayment, not all investment income |
| Onward Medical repaid in full | $17.1 million | Part of the quarter's total, not additional to it |
| Shepherd repaid in full | $6.3 million | Another loan exit |
| Other repayments | $8.7 million | Scheduled amortization and partial prepayments |
| Total liquidity events | $139.4 million | Not the ending cash balance |
| Follow-on investments | $8.5 million | Funding in four existing companies |
| Marley Spoon bridge funding within that total | Approximately $5.6 million | Additional capital during a restructuring |
The company restructured approximately $28.9 million of unfunded Marley Spoon commitments into a €8.1 million bridge loan. Those are different currencies and different measures: the euro amount is the bridge commitment, and the dollar funding is the amount advanced in the quarter. Do not add the cancelled or restructured commitments to funded exposure.
The same disclosure describes a revised operating plan and a recently announced 21% workforce reduction at Marley Spoon. It supplies no realized recovery value and no updated September non-accrual valuation. June's mark cannot answer whether the bridge improves ultimate recovery.
Liquidity events less follow-on funding were $130.9 million (our arithmetic: $139.4 million less $8.5 million). This is an activity comparison, not operating cash flow or cash available for dividends. Debt repayments, expenses, repurchases and other balance-sheet movements also affect cash. The update counts 52 debt investments across 42 companies at September 30, 2026, but does not provide a replacement NAV or NII statement.
SWK is an acquired portfolio, not a pending catalyst
The April 7, 2026 closing 8-K confirms completion on April 6, 2026. The June 10-Q subsequently separates transaction terms from accounting values.
| SWK acquisition measure | Amount in June 10-Q | Why the basis matters |
|---|---|---|
| Company consideration under transaction terms | Approximately $249.0 million | $173.5 million cash plus $75.5 million equity valued at NAV |
| Shares issued | 6,330,509 | Use the later financial-statement count |
| Acquisition-date accounting value of issued equity | Approximately $43.6 million | Different basis from the transaction's NAV valuation |
| Adviser-funded consideration | $9.0 million | Recorded as a deemed capital contribution |
| Acquired investments at fair value | $239.666 million | Not the net purchase price |
| Acquired cash | $38.207 million | An acquired asset, not recurring earnings |
| Net assets acquired at fair value | $248.668 million | Acquisition-date assets less liabilities |
| Investment purchase discount | Approximately $14.4 million | Allocation under asset-acquisition accounting |
The closing 8-K initially stated approximately 6,330,640 shares; the later 10-Q records 6,330,509. We retain both disclosures in the CSV and use the later count above. They should not be silently treated as identical exact numbers.
Runway accounted for SWK as an asset acquisition. Its accounting policy accretes purchase discounts allocated to acquired debt into income over the remaining life of the investment; the discount on equity is not accreted into interest income. This matters when assessing how much of future NII comes from new cash interest rather than purchase accounting.
Total net assets increased to $502.578 million at June 30, 2026, but NAV per share fell from $12.13 at March 31, 2026 to $11.91. At December 31, 2025 it was $13.42. Issuing shares can enlarge total equity while the existing holder's per-share value falls. For related venture-lending research, see Hercules Capital and Trinity Capital; their portfolios and underwriting are separate exposures.
Repurchases and management changes are separate levers
Runway repurchased 249,169 shares in Q2 2026 for $1.446 million, according to the statements of changes in net assets. That is completed company activity. The August release's reference to the adviser and its affiliates committing to buy up to 10% of outstanding shares is an intention by those buyers, not evidence that the company has already retired that amount of stock.
The same release says Michael Rovner was elected co-CEO on August 5, 2026, effective at the close of business on August 6, 2026, alongside David Spreng. These capital-allocation and leadership changes belong in the corporate-event record, but neither supplies a new portfolio valuation.
The October financing is closed; the SWK redemption is scheduled
The October 1, 2026 8-K records a completed issue of $46,329,125 of unsecured notes at 7.75%, maturing October 1, 2031. That supersedes the smaller base offering amount in the September underwriting announcement.
Runway also elected to redeem all $32,969,000 of inherited 9.00% SWK notes, with an expected redemption date of November 3, 2026. As of October 18, 2026, a redemption notice is not proof of settlement. The new offering's uses include paying down the credit facility and redeeming the SWK notes; it is not all fresh lending capacity.
The balance-sheet timing needs equal care. June's release reported $210.8 million of liquidity, including $200.0 million of borrowing availability. The July facility amendment reduced commitments from $550 million to $425 million and changed covenants and eligibility rules. Do not carry the old availability forward as an October cash resource. The June core leverage ratio was 136%, compared with 98% at March 31, 2026; the October portfolio update does not recalculate it.
What a holder or reader can do with this
This is analysis of public documents, not investment, legal or tax advice.
- Compare the next NII statement with the declared dividend, then inspect PIK income, incentive fees and acquired-loan discount accretion before annualizing it.
- Follow Marley Spoon's funded exposure, non-accrual valuation and any realized recoveries together. A smaller commitment is not itself a recovery.
- Reconcile repayments with earning assets and debt outstanding. Capital returned can support debt reduction or repurchases while lowering interest income.
- Check for completion of the announced SWK note redemption and use the next accounts for updated borrowing capacity, leverage and NAV.
We found no third-quarter financial statements in the SEC submissions reviewed through October 18, 2026. The October operational update does not establish third-quarter dividend coverage. No current stock price, market dividend yield or price-based NAV discount is calculated here.
