Quick Answer

Updated October 6, 2026 — the next round is already called. Twelve more meetings are set between November 5 and December 21, 2026 (table below): Inland Real Estate Income Trust (Nov 5), Cottonwood and Invesco (Nov 10), StratCap (Nov 13), MacKenzie (Nov 16), Procaccianti (Nov 23), the four Lightstone REITs (Dec 14), KBS REIT III (Dec 17) and Apollo's ARIS (Dec 21). Two funds are already pushing for votes in writing — StratCap told financial professionals that “Reaching quorum is essential for the annual meeting to proceed” — and ARIS has put a charter amendment on the ballot that needs a majority of all shares, not just a quorum.

Between June 26 and August 13, 2026, six non-traded real estate investment trusts convened annual meetings of shareholders and could not seat them. Nuveen Global Cities REIT (June 26), FS Credit Real Estate Income Trust (July 1, then again on July 30), Ares Real Estate Income Trust (August 6, after a June adjournment to solicit more proxies), J.P. Morgan Real Estate Income Trust (August 7), Starwood Real Estate Income Trust (August 11) and Lightstone Value Plus REIT V (August 13). Not one elected a board. Not one ratified an auditor, except where ratification was not on the agenda. One of the six has since seated itself: Lightstone REIT V reconvened on September 10, 2026 and cleared its one-third bar with 5,684,411 of 16,146,920 shares, 35.2%, electing all eight directors (Form 8-K filed September 15, accession 0001140361-26-036665). That one-third standard and the 16,146,920 share count are not in either 8-K: they are in the fund's proxy statement filed June 1, 2026 (accession 0001140361-26-023431), which puts it plainly — "A quorum consists of the presence, in person or by proxy, of stockholders entitled to cast one-third of all the votes entitled to be cast at the Annual Meeting." The other five had not, as of September 16, 2026.

The consequence is the same sentence in filing after filing: "under Maryland law, each incumbent nominee for the board of directors will continue to serve as a 'holdover' director until his or her successor is duly elected and qualifies." The directors keep their seats because nobody voted them out, and nobody voted them out because nobody voted.

Ares Real Estate Income Trust went furthest. Its 8-K of August 7 states that quorum requires holders of 50% of the outstanding shares, that "A quorum was not present", and that the meeting was "permanently adjourned" without electing directors or ratifying KPMG. On that same morning, in the same Denver offices, its sister fund Ares Industrial Real Estate Income Trust reconvened its own meeting and got 142,603,567 of 279,427,586 shares, approximately 51.0% — clearing the identical bar by one percentage point — and elected all eight directors.

This is not a general condition of the asset class. BREIT held its meeting on June 25 with 53.09% present and Brookfield REIT on June 9 with 69.34%. The difference between a fund whose owners show up and one whose owners do not is, as far as the filings go, unexplained.

Key Takeaways

  • Six non-traded REITs failed to reach a quorum at a 2026 annual meeting: Nuveen Global Cities REIT, FS Credit REIT, Ares Real Estate Income Trust, J.P. Morgan Real Estate Income Trust, Starwood Real Estate Income Trust and Lightstone Value Plus REIT V.
  • Of those six, only Lightstone REIT V has since seated a board: it reconvened on September 10, 2026 and got 35.2% against a one-third bar, electing all eight directors. Source: Form 8-K filed September 15, 2026, accession 0001140361-26-036665.
  • FS Credit REIT failed twice: on July 1 and again on July 30, 2026. Both 8-Ks say the company 'did not receive the votes from stockholders necessary to achieve a quorum'.
  • Ares Real Estate Income Trust adjourned its June 24 meeting to solicit more proxies, reconvened on August 6, still had no quorum, and PERMANENTLY adjourned. Its quorum standard is stated: 50% of outstanding shares.
  • The same day, in the same office, Ares Industrial Real Estate Income Trust cleared the same 50% standard with 51.0% (142,603,567 of 279,427,586 shares) and elected eight directors. Same sponsor, same date, one percentage point apart.
  • The legal result of a failure is a holdover board: under Maryland law incumbent directors keep serving until successors are elected. No seat changes hands and no term expires.
  • Auditor ratification also fails, and the filings note it does not matter: ratification 'is not required for their appointment and they will serve in that capacity at the direction of the audit committee'.
  • Two of the largest did seat their meetings: BREIT on June 25 with 1,877,146,255 of 3,535,404,054 shares present (53.09%), and Brookfield REIT on June 9 with 63,875,623 of 92,115,027 (69.34%).
  • Method, stated plainly: we read every Form 8-K filed in 2026 by the 51 registrants whose CIK appears in our corpus, and classified each Item 5.07. 51 of 51 read, zero download failures. We did not phrase-search for the answer.
  • That matters because a phrase search would have missed cases. 'Achieve a quorum', 'quorum was not present' and 'to form a quorum' are three different wordings used by different filers, and each returns a different, incomplete set.
  • Ares Real Estate Income Trust is in this article because a phrase search found it and our CIK census did not: its CIK was not in our corpus. Neither method alone is a census. Both are stated so the coverage of this list can be judged.
  • Of the 51 registrants read, 30 filed no Item 5.07 at all in 2026. Most of those are Regulation A issuers, LLCs and funds with no annual meeting requirement, and the year is not over. That 30 is not thirty more failures.
  • Lightstone REIT V is the one with published turnout history: 34.0% in 2022 (accession 0001829126-22-015967), 35.7% in 2023 (0001829126-23-005420) and 36.8% in December 2025 (0001185185-25-002070), against a one-third bar that its proxy statement states and its 8-Ks do not. In 2026 it did not clear it at the first attempt. The bar was the lowest in this list and it still failed.

Every fund below has filed its proxy. The question each faces is the same one six funds failed in the summer: will enough owners vote? We read each proxy for the bar it must clear, what it is asking and who it is paying to chase votes.

Three things stand out. First, the bars are not the same. MacKenzie needs one-third of the votes for a quorum; Invesco, Inland and the Lightstone REITs need a majority of all votes; and Invesco is the only one where a single holder, MassMutual with 65.6%, can supply the quorum alone. Second, the funds that failed this summer are not on this list, because their next meetings are a year away; what is on it are funds with a history — Inland reconvened last year's meeting in December, Lightstone REIT V failed at the first attempt in August, and ARIS, which permanently adjourned its 2024 meeting, now has an item that needs more than a quorum: a charter amendment required by state securities regulators that passes only with a majority of all votes entitled to be cast, about 39.3 million of 78.6 million shares (our ARIS review has the arithmetic). Third, the push has started in writing. StratCap's adviser wrote to financial professionals on September 24 that “Reaching quorum is essential for the annual meeting to proceed”, and Inland's fourth supplement asks holders to vote “to avoid potential delays in holding the annual meeting”. We will add each outcome to the table above when its Item 5.07 8-K is filed.

The pair that makes the point

Two funds. One adviser, Ares. One record date season. One reconvened meeting date, August 6, 2026. One address, One Tabor Center, 1200 Seventeenth Street, Denver. One quorum standard, 50% of outstanding shares. The two reconvened meetings were three hours apart in the same building: Ares Real Estate Income Trust at 10:30 a.m. Mountain Daylight Time and Ares Industrial at 1:30 p.m., both times stated in their June 24 adjournment 8-Ks (accessions 0001628280-26-045271 and 0001628280-26-045275).

Ares Industrial got 51.0% and elected its board. Ares Real Estate Income Trust got less than 50% and permanently adjourned.

The value of that pair is that it removes almost every explanation you might reach for. Not the sponsor's proxy solicitor, not the calendar, not the legal standard, not the mailing. What is left is the shareholder register: who owns the fund, through which adviser, and whether that adviser returns a proxy card. Neither 8-K says which of those it was, and neither will we.

What a holdover board actually means

The phrase appears verbatim in the Starwood, J.P. Morgan, Nuveen and FS Credit filings:

"As a result, under Maryland law, each incumbent nominee for the board of directors will continue to serve as a 'holdover' director until his or her successor is duly elected and qualifies."

Read plainly: a failed election does not remove anybody. It re-appoints everybody by default, indefinitely, and it does so without a vote having been counted. The directors who were on the board before the meeting are the directors after it, and the only way that changes is a future meeting that does reach a quorum.

The auditor line is the same shape. Three of these filings note that ratification "is not required for their appointment and they will serve in that capacity at the direction of the audit committee." The shareholder vote on the auditor was already advisory. Failing to hold it changes nothing at all.

So the practical answer to "what did investors lose when the meeting failed" is: the vote was not decisive to begin with. That is the uncomfortable part, and it is a fact about the structure rather than about these six funds.

The methodology, because the number depends on it

There are two ways to count something like this and they give different answers.

Phrase search. EDGAR's full-text search will find 8-Ks containing "achieve a quorum" (23 hits across all filers in 2026). It will not find Lightstone REIT V, because Lightstone wrote "Not enough stockholders were present in person or by proxy to form a quorum." A separate search for "quorum was not present" finds Ares Real Estate Income Trust and Highlands REIT but not the first group. Three phrasings, three disjoint sets, and no way to know from inside any one of them how much is missing.

Enumeration over a defined universe. We took the 51 registrant CIKs that appear in our own corpus, pulled every Form 8-K each of them filed in 2026, and read every one that contains an Item 5.07. 51 of 51 registrants read, zero download failures. A download failure is not an absence, so it is counted separately and there were none.

The census is complete for that universe and the universe is not the whole asset class. The clearest proof is in this article: Ares Real Estate Income Trust is here because the phrase search found it, and the census did not, because its CIK is not in our corpus. We are saying so rather than presenting the list as a market-wide count. If you want the market-wide number, the method is the second one over a longer CIK list, and the answer will be at least six.

Of the 51 read, 12 filed an Item 5.07 that reports a meeting held, and 30 filed no Item 5.07 in 2026 at all. That last figure is not thirty more failures: Regulation A issuers, LLCs and several fund structures in that set have no annual meeting obligation, and 2026 is not finished.

Found after publication, outside the 51 (added October 9, 2026): Invesco Commercial Real Estate Finance Trust, a privately offered REIT whose CIK was not in our corpus, also failed: its 8-K of May 2026 (accession 0001193125-26-216619) says there were not enough shares present or represented by proxy “to constitute a quorum” and that it adjourned without any business being conducted. Unlike the six above, it got its quorum at the reconvened meeting on July 9, 2026 and elected its directors (8-K accession 0001976927-26-000052), so it is not counted as a holdover board.

Where this sits next to everything else we have written

Two of the six are funds we already cover for liquidity problems. Starwood's SREIT has accepted no ordinary repurchase request since April 29, 2026 while repurchasing $18.6 million of its own adviser's shares outside the plan. Lightstone REIT V suspended its redemption programme in December 2025 and ran a tender at 85% of NAV in which one in four shares was offered up.

But one of the six is not in trouble at all on that axis. J.P. Morgan's JPMREIT repurchased 191,698 shares in the whole of the second quarter — about $2.08 million at the average prices its 10-Q gives — and that filing says it was every request it received. Its distribution is covered at 105.3% of AFFO. It still could not seat a meeting.

That is the reason to write this as its own piece rather than as a paragraph inside a redemption story. Turnout is not a distress signal. It is a property of who holds the shares, and it is uncorrelated enough with the fund's condition that a fund nobody is trying to leave and a fund nobody can leave can fail the same vote in the same week.

Correction, September 17, 2026

A line-by-line re-verification of this page re-read all thirteen dataset rows against their own accession numbers. Every quoted sentence and every disclosed share count and percentage checked out, 13 of 13. Three things did not.

"Ninety minutes apart" was our arithmetic, and it was wrong. The two Ares meetings reconvened at 10:30 a.m. and 1:30 p.m. Mountain Daylight Time on August 6. That is three hours, not ninety minutes. Both times are stated in the June 24 adjournment 8-Ks. Corrected above; the point the sentence was making — same sponsor, same building, same day, same standard, opposite outcomes — is unchanged.

Two cells came from a different filing than the row they sat in. The Lightstone REIT V rows carried a one-third quorum standard and 16,146,920 outstanding shares, and neither figure appears in either Lightstone 8-K. Both are in the fund's proxy statement filed June 1, 2026 (accession 0001140361-26-023431), which states the standard in terms. The values were right; the attribution was not, on a page whose entire method claim is one accession per row. The dataset now names the proxy in those cells.

The dataset row count in the frontmatter was one behind. It said twelve; the CSV has carried thirteen rows since the reconvened Lightstone meeting was added on September 16, and the download panel already said thirteen. Fixed, so the structured data on this page stops contradicting the file it points at.

One figure changed for a reason that has nothing to do with this page: JPMREIT's second-quarter repurchases were described here as $191,698, which was a share count we had read as dollars on the JPMREIT article. It is 191,698 shares, about $2.08 million. Corrected in both places.
