Quick Answer

As of October 17, 2026, the latest quarterly report from NexPoint Real Estate Finance, Inc. (NYSE: NREF, SEC CIK 1786248) is the 10-Q for June 30, 2026, filed August 13, 2026: combined book value of $18.60 per share, earnings available for distribution (EAD) of $0.46 per diluted common share, cash available for distribution (CAD) of $0.58, and a common dividend of $0.50. EAD covered the dividend 0.92 times and CAD 1.16 times (our arithmetic). The dividend has been $0.50 a quarter for ten quarters, since the first quarter of 2024, after $0.685 a quarter in 2023.

The line a quote page does not show: in the company's own June 30, 2026 portfolio table, $611.0 million of the $1,134.1 million of net equity, 53.9% (our arithmetic), is in six positions tied to one private life-science landlord, IQHQ: two mezzanine and bridge loans in Cambridge, Massachusetts, a revolver, two classes of preferred stock and warrants. NexPoint-managed funds sit alongside NREF in several of them. NREF also lends to other NexPoint-affiliated borrowers (VineBrook Homes, NexPoint Storage Partners, NexPoint Homes Trust), pays its external manager 1.5% a year of “Equity” that includes preferred stock proceeds, and funds itself partly with 9.00% Series B and 8.00% Series C preferred that holders can ask to redeem every month.

The 10-Q for the quarter ended September 30, 2026 has not been filed as of October 17, 2026, and the last filing of any kind is an 8-K of August 20, 2026. NREF reported third-quarter results on October 30, 2025 and October 31, 2024; no 2026 date has been filed. $45.0 million of 7.875% notes came due on October 10, 2026, with extension options, and none of the filings we saved says whether they were extended or repaid.

Key Takeaways

  • The dividend is covered by CAD, less so by EAD. Over the ten quarters at $0.50 (Q1 2024 to Q2 2026), EAD per diluted share added up to $4.52 against $5.00 of dividends (0.90 times) and CAD to $5.51 (1.10 times), our arithmetic. EAD covered the dividend in four of the ten quarters; the last four quarters give $1.88 of EAD (0.94 times) and $2.22 of CAD (1.11 times). The company's own midpoint guidance for Q3 2026 is EAD of $0.43 (0.86 times) and CAD of $0.55 (1.10 times).
  • More than half of net equity is IQHQ. Six positions (Alewife mezzanine loan $122.8 million, Alewife bridge loan $42.5 million, revolver $158.4 million, Series E preferred $136.2 million, Series D-1 preferred $18.6 million, warrants $132.5 million) total $611.0 million, 53.9% of the $1,134.1 million portfolio net equity (our arithmetic). The three fair-value marks among them, $287.4 million, equal 67.1% of the $428.5 million of combined book equity (our arithmetic). Massachusetts is 31% of principal.
  • Income that is not cash yet. Payment-in-kind income was $41.6 million in the first half of 2026 against $6.4 million a year earlier, and net cash from operating activities fell from $19.4 million to $3.4 million, while $43.5 million went out as common, preferred and OP-unit distributions (our arithmetic). The 10-Q puts the fall in operating cash down to “changes in provision for credit loss and paid in kind income.”
  • The preferred ranks ahead of the common. Series A, B and C have a stated value of $485.4 million (our arithmetic) against $346.8 million of common equity. Series B and C were sold through an affiliated dealer manager at up to 10% in commissions and fees, and holders can redeem monthly; NREF chooses cash or common stock, and says it intends not to use stock when the shares trade below book value. Q2 diluted shares were 53.98 million against 18.84 million basic.
  • Debt was refinanced into a swap-backed loan. The $180.0 million of 5.75% notes due May 1, 2026 were repaid with proceeds of a Mizuho term loan, now sized at $450.0 million with $412.2 million outstanding on August 17, 2026 and $144.3 million of cash posted as collateral. The weighted-average rate on financing rose from 5.25% to 6.34% and the weighted-average life from 0.9 to 2.6 years between December 31 and June 30. About $118.5 million falls due within 12 months.
  • Affiliates are on both sides of the book. NREF lent to VineBrook Homes (a $20.0 million revolver signed May 7, 2026), NexPoint Homes Trust and NexPoint Storage Partners, guarantees NexPoint Storage preferred dividends jointly with NXDT, and borrows from NexBank (tied by ownership to one of its directors) and from NFRO REIT Sub, which the 10-Q says may be deemed an affiliate of the manager. The balance sheet flags $94.7 million of loans, common and preferred stock with related parties at June 30, 2026, against $51.7 million at December 31, 2025 (our arithmetic), before counting the IQHQ positions.

A $5.4 billion balance sheet around a $1.1 billion portfolio

NREF's June 30, 2026 balance sheet shows $5.37 billion of assets. Of that, $3.82 billion is "mortgage loans held in variable interest entities", the securitization trusts behind its CMBS B-pieces, which NREF consolidates, and $3.65 billion of matching bonds payable sit on the other side. What NREF itself is exposed to is what the company calls its portfolio: $1.45 billion of principal and $1,134.1 million of net equity across 85 investments, a weighted-average loan-to-value of 63.4% and a debt service coverage ratio of 1.39 times on its senior loans, CMBS, mezzanine and preferred equity. The company's debt-to-equity ratio, with the B-pieces shown unconsolidated, is 0.88 times.

The mix has moved. The company's quarterly releases show multifamily falling from 56.9% of the investment portfolio (Q2 2024) to 37.6% (Q2 2026) and life science rising from 22.2% to 39.4%. Earlier releases used a different base, the debt portfolio, and put life science at 5.2% at December 31, 2023 and 11.4% at March 31, 2024.

The dividend: $0.685 for 2023, then ten quarters of $0.50

NREF declared $1.90 a share in 2021, $2.00 in 2022 and $2.74 in 2023, which was $0.685 a quarter. In the first quarter of 2024 it declared $0.50 against $0.685 a year earlier, a 27.0% reduction (our arithmetic), and it has declared $0.50 every quarter since, including the third quarter of 2026 (declared July 27, 2026, record date September 15, payable September 30, 2026). Annual dividends declared were $2.00 for each of 2024 and 2025.

NREF reports two non-GAAP measures that it says it uses to judge the dividend. EAD starts from GAAP net income to common stockholders, takes out unrealized gains and losses and similar non-cash items, and adds back stock compensation; the reconciliation also adds back the provision for credit losses. CAD adds back amortization of premiums and depreciation on the apartment buildings it owns and removes accretion of discounts. Both are per "adjusted" diluted share, which leaves out the shares that could be issued if Series B or Series C holders were paid in stock.

Ten quarters$5.00n/a$4.52$5.510.901.10$17.93 at Dec 31, 2023

Four readings from the table.

  1. EAD has been below the dividend in six of the ten quarters. It was above in Q2, Q3 and Q4 of 2024 and Q3 2025. The first quarter of 2024 is distorted by $25.0 million of accelerated premium amortization after a senior loan was prepaid (the company received $508.7 million from that redemption and booked $8.9 million of prepayment penalties); leave that quarter out and nine quarters give $4.98 of EAD against $4.50 of dividends, 1.11 times (our arithmetic).
  2. CAD has been at or above the dividend in seven of ten quarters, and in every quarter since Q3 2025. The gap between the two measures is real money: in Q2 2026 CAD was $13.9 million against EAD of $11.2 million because it adds back $2.6 million of premium amortization and $1.7 million of depreciation on the owned apartment buildings and removes $1.7 million of discount accretion (our arithmetic: $2.7 million net). Whether premium amortization should be added back is a judgement; the company shows both numbers.
  3. GAAP earnings are noisy and EAD is not. The table below shows how $5.4 million to $35.0 million of GAAP net income to common in four quarters becomes $10.0 million to $11.6 million of EAD, with unrealized fair-value gains and loan-loss provisions as the swing items.
  4. Guidance for Q3 2026 is below Q2's EAD. For Q3 2026 the company guides to EPS of $0.34, EAD of $0.43 (range $0.38 to $0.48) and CAD of $0.55 (range $0.50 to $0.60), which is 0.86 times and 1.10 times the $0.50 dividend at the midpoints. Net income to common is guided to $7.4 million to $9.8 million.

Q1 202610.0(0.7)(3.0)10.0
Q2 20265.41.30.811.2

Because EAD adds back the provision for credit losses, it does not show credit costs at all. NREF's reserve went from $1.4 million on January 1, 2025 to $34.7 million on January 1, 2026, about 25 times (our arithmetic), and stood at $26.5 million on June 30, 2026; the credit section below has the detail.

More than half of net equity is one private landlord: IQHQ

Read the Life Science lines of the company's June 30, 2026 portfolio table and the same borrower keeps appearing. The 10-Q describes IQHQ, Inc. as a privately held life sciences real estate investment trust. NREF's filings do not call IQHQ an affiliate. They do say that the loans, preferred stock and warrants are allocated through NexPoint Bridge Investor I, LLC, “an entity owned by an affiliate of the Manager”, and that other funds advised by affiliates of the Manager took part alongside NREF.

Three things to take from the table.

  • Who is next to NREF. Under the Alewife co-lender agreements NexPoint Diversified Real Estate Trust's operating partnership (NXDT) has the right to fund up to 9% of the Alewife loan and The Ohio State Life Insurance Company, which the 10-Q says may be deemed an affiliate of the Manager, up to 10.32%; NREF has to fund what they do not. The IQHQ revolver has other lenders, Bluerock Total Income+ Real Estate Fund among them. Our NexPoint Real Estate Strategies Fund IQHQ page shows the interval-fund side of the same borrower.
  • How the value is set. The warrant valuation uses a net-asset-value approach to IQHQ Inc.'s real estate, with an independent valuation firm assisting, and the three fair-value lines total $287.4 million, which is 67.1% of NREF's $428.5 million of combined book equity (our arithmetic). The change in unrealized value on preferred stock and warrants was +$23.0 million in Q2 2025 and −$4.1 million in Q2 2026, and +$38.2 million and −$8.5 million for the two first halves. That swing is why GAAP earnings moved so much more than EAD.
  • Where it sits geographically. The company's geographic chart puts Massachusetts at 31% of principal and Texas at 16%, with Florida at 6% and Georgia, Maryland and California at 5% each.

Other NexPoint borrowers: VineBrook, NexPoint Storage Partners and NexPoint Homes Trust

The balance sheet flags loans, common stock and preferred stock "with related parties" of $94.7 million at June 30, 2026 ($63.9 million of loans, $27.4 million of common stock, $3.4 million of preferred), up from $51.7 million at December 31, 2025 (our arithmetic). That count leaves out IQHQ, which the balance sheet does not tag as a related party.

A reader who holds VineBrook, NXDT or the NexPoint interval fund should know these links exist: NREF's related-party note spells out the lenders, guarantors and co-investors line by line. Income that is not cash yet: payment in kind and operating cash flow

Several of the high-coupon loans pay their interest in kind, meaning the amount is added to the loan balance. NREF's cash flow statement shows $41.6 million of payment-in-kind income in the first six months of 2026 against $6.4 million in the same period of 2025, 6.6 times as much (our arithmetic). The loan roll-forward shows the same thing as "PIK distribution reinvested in Preferred Units" of $41.4 million against $6.4 million. The EAD and CAD reconciliations list no adjustment for payment-in-kind income.

First six months2026 ($ million)2025 ($ million)

Payment-in-kind income (non-cash)41.66.4

Common dividends paid21.717.6
Series A, B and C preferred dividends paid17.59.8
Distributions to OP unit holders4.25.0
Total paid out (our arithmetic)43.532.4

Operating cash flow was $31.6 million in 2023, $29.3 million in 2024 and $22.9 million in 2025. The company gives its own explanation for the first-half drop: “changes in provision for credit loss and paid in kind income.” Two cautions. A company that consolidates securitization trusts reports most of their cash movements in investing and financing, so operating cash flow understates the cash earned. The money for the distributions came from other lines of the cash flow statement, for example $116.7 million of loan repayments received in the half. The table is still the clearest single view of the difference between income booked and cash received, which EAD, built from accrual income, cannot show.

The preferred stack: 9.00% Series B and 8.00% Series C that holders can redeem

NREF has three preferred classes. The 8.50% Series A is listed (NREF-PRA). The 9.00% Series B was sold from November 2023 to December 5, 2025 and the 8.00% Series C has been on offer since November 4, 2025 through the same affiliated dealer manager. Only the common stock and the Series A appear among the exchange-registered securities on the cover page of the August 20, 2026 8-K; for Series B and C the way out is to ask NREF to redeem.

What the filings say about redemptions and dilution:

  • Caps. Series B and C redemptions are capped at 2% of the outstanding shares a month, 5% a quarter and 20% a year; 20% of Series B is $79.9 million a year at the stated value (our arithmetic). Actual redemptions have been small so far: 127,084 Series B shares in the first half of 2026, and 74,754 more for $1.7 million between June 30 and August 12.
  • Stock or cash. NREF "has the right, in its sole discretion" to pay in cash or in common stock for as long as the shares are listed. The earnings release says NREF intends not to settle Series B or C redemptions in stock when the common stock trades below book value; that is a stated intention, not a charter term. Shareholders approved the issuance of common stock on Series C redemptions, including to related parties, at the June 2, 2026 annual meeting.
  • Share count. The weighted diluted share count in Q2 2026 was 53.98 million against 18.84 million basic, because it includes 27.4 million shares for potential Series B redemptions and 2.5 million for Series C. EAD and CAD per share leave those out (adjusted count 24.06 million), by design.
  • Who pays for the sale. The dealer manager is an affiliate of the manager. Both series carry a 7.0% selling commission and a 3.0% dealer manager fee (the Series C agreement caps total underwriting compensation at 10.0% of gross proceeds). The Series B payments to the dealer manager came to $28.9 million on $395.6 million of gross proceeds (our arithmetic: 7.3%), part of it reallowed to other dealers.

On April 29, 2026 NREF signed a $375.0 million term loan with Mizuho, drew $310.0 million, and used $185.2 million of it to repay the 5.75% senior unsecured notes due May 1, 2026 (face $180.0 million at year-end). In the same transaction it entered a total return swap with Mizuho: NREF pays SOFR (floor 2.00%) plus 2.45% on the notional and receives the loan interest, which brings the net cost down. An 8-K filed August 20, 2026 shows the facility upsized to $450.0 million, $412.2 million outstanding on August 17, and $144.3 million of cash transferred to Mizuho as collateral under the amended swap. Restricted cash on the balance sheet went from $3.2 million at the end of 2025 to $131.9 million at June 30, 2026. Unsecured notes on the balance sheet fell from $229.1 million to $51.1 million.

The 10-Q says about $118.5 million of obligations fall due within 12 months, mainly the 2026 OP Notes and the Argentic mortgage, and that management plans partial paydowns and the contractual extension options. The notes were sold to Bluerock Total Income+ Real Estate Fund and The Ohio State Life Insurance Company in October 2025.

Book value of $18.60, the credit reserve and three apartment buildings

Combined book value per share (common equity plus the OP units' redeemable interest, divided by common shares plus OP units, before any preferred) was $20.03 at December 31, 2022, $17.93 at December 31, 2023, $16.97 at December 31, 2024, $19.01 at December 31, 2025 and $18.60 at June 30, 2026. Excluding the OP units it was $18.40. Book value is 3.7% higher than at the end of 2023 while $5.00 a share has been declared since (our arithmetic); book value plus those dividends is 131.6% of the December 31, 2023 value. That is arithmetic on the company's numbers, not a shareholder return. In its August 6, 2026 supplement the company reported a 9.0% discount to book at the August 5 close and an implied dividend yield of 11.8%; $2.00 a year is 10.8% of book value (our arithmetic).

Multifamily properties owned after taking controlAlexander at the District (Atlanta, consolidated 2023), Mag & May (Fort Worth, 240 units, December 15, 2025), Ridgeview Place (Irving, 390 units, May 13, 2026); $163.8 million of net operating real estate$113.9 million

When NREF took over Ridgeview Place on May 13, 2026 it removed a $12.5 million loan, took on $52.2 million of real estate and a $40.3 million mortgage, and recorded a $6.1 million charge-off against the reserve. The three buildings cost more to run than they earn: for the first half of 2026 the company reports $4.3 million of revenue and $8.9 million of expenses (which include interest, taxes and operating costs) from consolidated real estate, a $4.6 million gap (our arithmetic). The Argentic mortgage on the Atlanta property is the November 6, 2026 maturity in the debt table.

The manager, the fee and who owns the common stock

NREF is externally managed by NexPoint Real Estate Advisors VII, L.P., a subsidiary of NexPoint Advisors. The fee is 1.5% a year of "Equity", paid monthly in cash or shares at the manager's choice. Equity is defined as stockholders' equity at the IPO plus the net proceeds of all equity issuances after it, which includes preferred stock, plus cumulative EAD, less distributions to common stockholders and repurchases. Operating expenses and the fee together may not exceed 2.50% of equity book value.

First half of 20264.5Q2 2026 alone: $2.25 million, which times four is about $9.0 million (our arithmetic)

At the Q2 2026 pace the fee implies a base of about $600 million (our arithmetic: $9.0 million ÷ 1.5%), against $346.8 million of common book equity, because raising preferred stock raises "Equity" and therefore the fee. That is how the agreement is written, and the 10-K describes the increase as being due to "Equity as defined by the Management Agreement". It is not a hidden charge, but it means the manager is paid more when the company issues the Series B and C that holders can redeem.

On ownership, the 2026 proxy statement counts 18,608,201 common shares at February 27, 2026 and shows 10,392,166 of them, 55.8%, beneficially owned by the person who controls the sponsor. The proxy says those shares are held indirectly through advised entities, including the operating partnership of NXDT with 2,952,273 shares (15.9%) and Highland Income and Opportunities Fund (HFRO) with 4,372,286 (23.5%) (our arithmetic for the percentages; the proxy's rows overlap, so do not add them). The company's own supplement puts insider ownership at 11.9%, excluding funds advised by affiliates. If you hold NXDT or HFRO, you already own part of NREF indirectly, and our NRSAX page shows the interval fund holding NREF stock too.

How NREF differs from the larger commercial mortgage REITs

NREF is not a bank-style lender like the companies in our commercial mortgage REIT dividend and delinquency table. It has 85 investments, a book that is 39.4% life science and 37.6% multifamily, high coupons (9.2% weighted) and a fair-value marking program that moves GAAP earnings more than distributable earnings. Its Series B and C preferred are raised through continuous public offerings sold by an affiliated dealer manager, and the list of borrowers includes entities managed by the same sponsor. Franklin BSP Realty Trust, BrightSpire Capital and NexPoint Diversified Real Estate Trust are separate listed vehicles; this page does not compare their numbers, only what NREF's own filings show.

What a holder or reader can do with this

This is analysis of public documents, not investment, legal or tax advice. Checks the filings let you run on NREF or any externally managed lender with affiliated borrowers:

  • Compare the dividend with EAD, CAD and cash flow, not one. At $0.50 it needs $2.00 a year; EAD gave $1.88 in the last four quarters and CAD $2.22.
  • Count the IQHQ lines in the portfolio table of each financial supplement. They are the ones that say Life Science with a coupon of 13.5% to 16.5%.
  • Watch the Series B redemption counts in the subsequent-events note of each 10-Q, and the sentence about settling in stock.
  • Look for the October 10 notes in the Q3 10-Q liquidity paragraph or in an 8-K under Items 1.01 and 2.03.
  • Read the related-party note (Note 14) every quarter. The VineBrook revolver and the NexPoint Storage note were both added in 2026.
  • If you hold NXDT, NRSAX or HFRO, see our NexPoint Real Estate Strategies Fund review and the IQHQ concentration page for the fund-side view of the same borrower.
