Quick Answer

KBS Real Estate Investment Trust III (SEC CIK 1482430) filed an 8-K on November 5, 2026 reporting that on October 30, 2026, three days before it fell due, it extended its two largest property loans. The Accenture Tower Loan (Chicago, $317.4 million outstanding, lender group led by U.S. Bank) now matures December 17, 2026, 45 days after the November 2 date it replaces, with an option to November 2, 2027 if conditions are met; the spread over one-month Term SOFR rises to 325 basis points from November 2, 2026 (300 if the option takes effect). The 3001 & 3003 Washington Mortgage Loan (Arlington, Virginia, Bank of America, $137.8 million) now matures January 20, 2027, 79 days later, with no further extension options, and the lender may declare a default and accelerate sooner if it judges a refinancing unlikely. Together that is $455.2 million, 36.5% of the $1,246.4 million of notes at June 30, 2026 (our arithmetic). KBS REIT III says it is pursuing refinancings and that there is no assurance as to their certainty or timing.

Key Takeaways

  • The Accenture Tower Loan, $317.4 million outstanding at October 30, 2026, matured on November 2, 2026 under the December 2024 deal. The sixth modification moves it to December 17, 2026, with an option to November 2, 2027, subject to conditions the 8-K does not list, and a $0.4 million fee if the option is exercised.
  • The spread on the Accenture Tower Loan was 235 basis points before December 2024, 300 after it, and is 325 from November 2, 2026. Our arithmetic: 25 basis points on $317.4 million is about $0.8 million a year at a constant balance.
  • The 3001 & 3003 Washington Mortgage Loan, $137.8 million, now matures January 20, 2027, with no further extension options. Its maturity has gone from May 6, 2026 to August 4, then November 2, then January 20, 2027; the 8-K calls this the ninth modification and the lender was paid $0.1 million.
  • The lender on the Washington loan may declare a default and accelerate before January 20, 2027 if, in its reasonable discretion, a refinancing is unlikely to be completed on the required terms.
  • Five loans totaling $1,092.8 million at June 30, 2026 now fall due between December 15, 2026 and January 22, 2027, a 38-day window, 87.7% of all notes (our arithmetic, before the extension options several of them carry).
  • The 8-K repeats that management's plans may not alleviate substantial doubt about KBS REIT III's ability to continue as a going concern, and that it may relinquish properties to lenders or seek bankruptcy court protection.

What the 8-K says, loan by loan

The filing is Items 1.01 and 2.03 of Form 8-K, accession 0001482430-26-000044, for an event date of October 30, 2026, signed November 5, 2026. It covers two loans.

Other$4.6 million of new funding available, subject to conditionsLender may declare a default and accelerate before maturity if it reasonably judges a refinancing unlikely

Three things stand out. First, the Accenture Tower option does not push the outer date any further out: the December 2024 deal already allowed one 12-month extension from November 2, 2026, which is November 2, 2027. What the sixth modification changes is the base maturity (45 days later, our arithmetic) and the price (25 basis points more until the option takes effect). Second, the Washington loan has lost its option altogether: the last two steps were 90 days each (May 6 to August 4, August 4 to November 2, our arithmetic), and this one is 79 days to a fixed date. Third, the Washington loan's lender keeps a right to act early: it may declare a default and accelerate before maturity on its own reasonable determination that a refinancing is unlikely to be completed on the terms the ninth modification requires.

How the Accenture Tower Loan got here

The loan was entered on November 2, 2020. Its maturity was extended in short steps in late 2024 before the long one:

Date signedStepMaturity setTerms disclosed
November 1, 2024Third modificationDecember 10, 2024Removed the earlier 12-month extension option; $306.0 million outstanding

December 20, 2024Fourth modificationNovember 2, 2026, plus a 12-month optionSpread 235 to 300 basis points; commitment raised to $322.0 million; $995,600 modification fee, $100,000 agent fee, $650,000 exit fee
October 30, 2026Sixth modificationDecember 17, 2026, plus an option to November 2, 2027Spread 325 basis points from November 2, 2026; $0.4 million fee if the option is exercised

The filings we read do not describe a fifth modification. The balance moved from $306.0 million in December 2024 to $317.4 million, which is the $11.4 million of the $16.0 million of new funding that has been drawn (our arithmetic); with the $4.6 million the 8-K says is still available, the commitment is $322.0 million, the figure set in December 2024.

The spread has risen 90 basis points since November 2024 (235, 300, 325). The 10-Q for June 30, 2026 shows the loan at one-month Term SOFR plus 3.00%, an effective rate of 6.65%, interest only. Our arithmetic: on $317.4 million a quarter of a percentage point is about $0.8 million a year if the balance does not change.

How the 3001 & 3003 Washington loan got here

KBS REIT III entered this mortgage loan with Bank of America on May 21, 2019. Its recent steps, from the 10-K for 2025 and the 10-Q for June 30, 2026:

DateEventMaturity afterwards
December 31, 202510-K debt table: $138.8 million, one-month Term SOFR plus 0.10% plus 2.90%May 6, 2026
April 29, 2026Seventh modification; spread 325 basis points from May 7, 2026 (350 if the option took effect)August 4, 2026, option to November 2, 2026
August 4, 2026Letter agreement that waived certain conditions to the extension optionNovember 2, 2026
June 30, 202610-Q debt table: $137.8 million, effective rate 6.90%August 4, 2026 (as then scheduled)
October 30, 2026Ninth modification and extension agreement; $0.1 million feeJanuary 20, 2027, no further options

The seventh modification said that after August 4, 2026 an immediate default would follow two business days after a failure to meet certain conditions, some of which were “not in the Company’s sole control.” The 8-K does not say whether those conditions were met or waived under the ninth modification. The 8-K names the ninth modification and the 10-Q names the seventh; the filings we read do not describe an eighth separately.

What stands behind the two loans

KBS REIT III reports the buildings at carrying value, not market value, so the comparison below is a book-value one and not an appraisal.

BuildingRentable sq ftOccupancyAnnualized base rentReal estate, net (June 30, 2026)
Accenture Tower, Chicago1,457,72488.5% (June 30, 2026)$36.6 million$365.9 million
3003 Washington Boulevard, Arlington211,05486.1% (December 31, 2025)$11.1 million$98.8 million
3001 Washington Boulevard, Arlington94,83695.5% (December 31, 2025)$5.0 million$41.7 million

Accenture Tower alone was 24.7% of total assets at June 30, 2026. Our arithmetic on the carrying amounts: the $317.4 million loan is 86.8% of the tower's $365.9 million net book value, and the $137.8 million Washington loan is 98.0% of the two Arlington buildings' combined $140.5 million. A loan close to book value on an office building is the setting in which a lender will ask for paydowns or sales; it is not a measure of what a buyer would pay. The occupancy of the Washington buildings is at December 31, 2025, the latest the filings we read give; the 10-Q for September 30, 2026 will update it.

Where the two loans sit in the whole calendar

At June 30, 2026 the company owed $1,246.4 million under seven loans. The 8-K moves two of them into a cluster:

Maturity dateLoanPrincipal, June 30, 2026Options disclosed
December 15, 2026Modified Portfolio Revolving Loan Facility$160.4 millionFurther extension to March 31, 2027, subject to conditions
December 17, 2026Accenture Tower Loan$317.4 millionTo November 2, 2027, subject to conditions
December 31, 2026Carillon Mortgage Loan$89.5 millionNone in the filings we read
January 20, 20273001 & 3003 Washington Mortgage Loan$137.8 millionNone
January 22, 2027Amended and Restated Portfolio Loan Facility$387.7 millionTwo 12-month options under the eighth extension agreement, subject to terms

Those five add up to $1,092.8 million, 87.7% of the notes, inside the 38 days from December 15, 2026 to January 22, 2027 (our arithmetic on the June 30 balances; paydowns since then are not in this table). The Credit Facility ($37.5 million) matures September 30, 2027; our KBS REIT III review lists the full 2026 schedule of $918.9 million. This is the same pattern we describe for the sector in the commercial real estate debt maturity wall: the extensions buy weeks, and each one moves a cluster of dates closer together.

One more date falls in the same week: the company expects to hold its annual meeting of stockholders on December 17, 2026, the day the Accenture Tower Loan now matures. Failed and contested annual meetings are a pattern in this category, which our 2026 quorum census tracks.

What the company says it cannot promise

The 8-K does not soften its warnings. KBS REIT III is “pursuing a refinancing of the Accenture Tower Loan and the 3001 & 3003 Washington Mortgage Loan; however, there can be no assurance as to the certainty or timing” of its plans. It adds that management's plans “may not be considered probable and thus do not alleviate substantial doubt” about its ability to continue as a going concern for at least a year from August 13, 2026. It lists what lenders can do: foreclose on collateral, enforce cross-default provisions across its debt facilities, take pledged equity, and keep cash sweeps in place on several loans. And it says: “KBS REIT III may relinquish ownership of one or more secured properties to the mortgage lender. KBS REIT III may also seek the protection of the bankruptcy court to implement a restructuring plan.”

None of that says it will happen. It says the company is working inside conditions it does not control, which is the same description the 10-Q gave in August.

What the 8-K does not say

  • What the conditions to the Accenture Tower extension option are, or whether the company expects to meet them.
  • The spread on the Washington loan under the ninth modification.
  • Whether any principal paydown, property sale or other action was required as a condition of either extension.
  • Which refinancing lenders, if any, the company is talking to.
  • The balances of the other five loans since June 30, 2026. The 10-Q for the quarter ended September 30, 2026 will be the first filing to update them.

What a reader can do with this

This is analysis of public documents, not investment, legal or tax advice.

  1. Put the dates in order. December 15, 2026 (Modified Portfolio Revolving Loan Facility), December 17, 2026 (Accenture Tower Loan and the annual meeting), December 31, 2026 (Carillon), January 20 and 22, 2027 (the Washington loan and the portfolio facility). Our KBS REIT III review holds the full schedule and the estimated value of $2.70 a share; the history of the KBS REITs shows how the earlier ones ended.
  2. Read the 10-Q when it arrives. It should give the September 30 balances, the status of the September 30 property-sale milestone and the current text on every loan.
  3. Vote if you hold directly. The annual meeting is the one place a holder has a say, and the liquidation question returns every year.
  4. Check how your shares are reported. If they sit in an IRA, the custodian uses the estimated value per share, and a tax professional can say how a falling value is treated.
