FDUS Stock: Base vs Supplemental Dividend and NAV (2026)

Quick Answer
As of October 18, 2026, FDUS stock's latest declared quarterly distribution is $0.50 per share: a $0.43 base plus a $0.07 supplemental, declared August 3, 2026 and payable September 29, 2026. That differs from Q2 2026's $0.62 distribution, which included a $0.19 supplemental. Q2 adjusted net investment income was $0.50 per share: enough for the base, below the total distributed in that quarter. NAV was $19.46 per share at June 30, 2026. Equity monetizations helped Q2, but realized investments produced a loss over the first half, and the July Virtex exit realized another loss on previously written-down debt. Do not treat a supplemental distribution as a fixed income promise or as proof that the same quarter's equity gains funded it. The latest financial statements located are for June 30, 2026; the September prospectus is a debt exchange, not a new quarterly earnings report.
Key Takeaways
- Separate base from total: Q2 adjusted NII of $0.50 per share covered the $0.43 base, but the $0.62 total was 124.0% of adjusted NII (our arithmetic). GAAP NII was $0.49.
- The supplemental changed from $0.09 in Q1 to $0.19 in Q2 and $0.07 declared for Q3 2026. The base stayed $0.43. A smaller supplemental does not mean the base was cut.
- Q2 realized gains before tax were $6.4 million in the rounded 10-Q realization table; the first half had a $5.8 million loss before tax. Suited Connector's debt exchange contributed a $14.9 million first-half loss.
- Virtex matters after the quarter: the July 31, 2026 exit produced $204,000 of proceeds and a $10.995 million realized loss. The debt had already been written down; do not subtract that entire loss again from June NAV.
- Estimated spillover was $1.00 per share at June 30, down from $1.14 at March 31, 2026. It is taxable income not yet distributed, not a separate cash account or a guaranteed supplemental budget.

What the base covers, and what the supplemental changes
Fidus lends to lower middle-market businesses and holds equity alongside its loans. Those are different sources of return. Net investment income, or NII, measures income after expenses; realized gains and losses sit outside that subtotal. FDUS's adjusted NII removes the capital-gains incentive fee expense or reversal. It is the company's non-GAAP measure, not a pure cash or fully recurring earnings measure.
| Per share unless stated | Q1 2026 | Q2 2026 | Q3 2026 declaration |
|---|---|---|---|
| Base dividend | $0.43 | $0.43 | $0.43 |

| Total distribution | $0.52 | $0.62 | $0.50 |

Sources: Q1 earnings exhibit and Q2 earnings exhibit. The last column is a declaration, not Q3 earnings coverage. The announcement supplies a scheduled payment date; it does not itself confirm subsequent settlement.
The Q2 supplemental equals the preceding quarter's adjusted NII less the base: $0.62 minus $0.43 is $0.19. The Q3 supplemental likewise equals $0.50 minus $0.43, or $0.07 (our arithmetic). That observed relationship helps explain the lag, but it is not a contractual formula or a forecast. The board reviews taxable income estimates and undistributed taxable income when declaring dividends.
There is another useful cross-check. First-half distributions were $43.268 million, versus adjusted NII of $42.635 million, a $0.633 million excess (our arithmetic). Looking only at Q2 makes the gap look larger because Q1 earnings were stronger. Neither comparison establishes the distributions' final tax character. A supplemental label does not mean capital gains, return of capital or tax-free income.
Adjusted earnings still include noncash and uneven income
The recurring-income hypothesis needs qualification. Q2 adjusted NII per share fell from $0.57 a year earlier to $0.50, a 12.3% decrease reported by Fidus. Income growth did not translate into the same per-share earnings growth.
| Income quality check ($ millions) | Q2 2026 | First half 2026 | Why it matters |
|---|---|---|---|
| Payment-in-kind interest | 3.482 | 6.551 | Recognized income; not current cash collection |
| Fee income | 2.096 | 11.039 | Origination and prepayment activity can vary |
| Interest and financing expense | 10.957 | 20.732 | Funding cost comes before the dividend |
| GAAP NII | 18.692 | 43.333 | Before realized and unrealized investment gains |
| Adjusted NII | 18.946 | 42.635 | Removes the capital-gains incentive fee effect |
Source: Q2 earnings exhibit, consolidated statements and Schedule 1. More adjusted NII than GAAP NII in Q2, but less over the half, reflects the fee accrual/reversal mechanics. It does not turn equity gains into recurring interest. For the business model and terminology, see our BDC explanation.
The equity-exit ledger: gains in the quarter, a loss over the half
The Q2 10-Q identifies realization events by company. These are gains or losses, not gross sale proceeds. A sale of an underlying business may leave escrow interests behind; a partial equity sale is not a complete exit.
| Realization event ($ millions, before tax) | Q2 2026 | First half 2026 |
|---|---|---|
| USG AS Holdings — portfolio-company sale | 3.8 | 3.8 |
| Worldwide Express — partial equity sale | 1.3 | 1.3 |
| Medsurant — escrow distribution | 1.2 | 1.2 |
| CIH Intermediate — portfolio-company sale | 0.1 | 3.5 |
| Zonkd — portfolio-company exit | — | 0.5 |
| US GreenFiber — escrow distribution | — | (0.1) |
| Auto CRM — partial equity sale | — | (0.2) |
| Suited Connector — equity exit | — | (0.9) |
| Suited Connector — debt-security exchange | — | (14.9) |
| Net realized gain / (loss), as reported | 6.4 | (5.8) |
| After tax, as reported | 6.1 | (6.2) |
The table retains the filing's rounded figures; they need not sum exactly. The profitable Q2 events support the idea that equity can add value. The half-year total rejects the stronger claim that exits provided an uninterrupted gain stream. It also shows why an equity-only narrative misses credit losses: the biggest adverse first-half realization was a debt exchange.
Virtex belongs after this table, not inside it. On July 31, 2026, Fidus exited its second-lien and subordinated debt investments for $204,000, realizing a $10.995 million loss, according to the subsequent-events note. These positions were on non-accrual and previously written down. Moving an existing write-down into realized loss is not the same as suffering the entire loss anew after June. Q3 statements are needed to reconcile the full subsequent change in NAV.
NAV and spillover answer different questions
The first-half NAV bridge shows what remained after earnings, investment marks and distributions. It is not a share-price forecast.
| First-half 2026 NAV bridge | USD per share |
|---|---|
| Beginning NAV | 19.55 |
| Net investment income | +1.14 |
| Realized investment loss, after tax | (0.16) |
| Unrealized appreciation | +0.08 |
| Loss on extinguishment of debt | (0.01) |
| Distributions | (1.14) |
| Ending NAV | 19.46 |
Source: Q2 10-Q, Note 10, financial highlights. On the displayed rounded figures the bridge reconciles (our arithmetic). GAAP NII equaled distributions per share over the half, yet NAV fell because investment and debt-extinguishment losses exceeded unrealized appreciation.
Estimated spillover moved from $43.4 million, or $1.14 per share, at March 31 to $38.0 million, or $1.00 per share, at June 30, 2026. It measures taxable income in excess of distributions. It cannot be added to NAV as a second asset, and it should not be read as cash reserved for a promised dividend. The earnings release says final tax attributes are determined after the tax year closes.
What changed after June, through October 18, 2026
The saved SEC submission inventory contains no later quarterly report through October 18, 2026. The latest prospectus located is dated September 16, 2026. Its exchange offer registers an exchange of $120 million of restricted 6.625% notes due 2029 for an equal principal amount of registered notes. That is a securities-registration exchange, not evidence of an additional $120 million of new borrowing in September.
The Q2 release already reported refinancing and redemption of the old notes. For a holder, financing expense and the next earnings reconciliation matter more than counting the exchange twice as fresh leverage. We found no later quarterly distribution declaration in the filings and searches reviewed; absence from this review is not a guarantee that no announcement exists elsewhere.
What a holder can do with this
Keep the base and supplemental in separate income-budget lines. Compare the next base with both GAAP and adjusted NII, then check PIK, fees and realized losses before treating the difference as a durable cushion. Reconcile any Virtex realization with prior write-downs rather than deducting the headline loss twice.
