Seven Fundrise eREITs merged into Fundrise eREIT, LLC (SEC CIK 2093809) at 11:59 p.m. Eastern on April 29, 2026, and each old share became between 0.812 and 1.495 new shares. The ratios in the Form 8-K of May 4, 2026 were Development eREIT 0.812, Equity REIT 1.368, East Coast Opportunistic 0.961, Growth eREIT II 1.299, Growth eREIT III 1.495, Midland Opportunistic 1.185 and West Coast Opportunistic 0.947. All seven came in below the estimates in the April 27 prospectus (Equity REIT 1.639, down 16.5%; Growth eREIT III 1.570, down 4.8%; our arithmetic). The 8-K does not say why. Read against the funds' own April 29 notices and the Q2 10-Q, the main reason is that four funds had declared cash distributions to their own holders before closing (Equity REIT about $31.9 million, East Coast about $4.0 million, Growth eREIT II about $1.9 million, West Coast about $50,000), part of the $38.1 million of distributions that was payable at June 30, 2026, substantially all of it to holders of the old funds. So a lower ratio did not by itself mean a smaller dollar amount. The merged fund started at $10.00 a share by convention, was priced at $9.87 from July 1, 2026 (NAV $586.0 million, 59,401,082 shares), declares $0.0000684930 a share a day (about 0.25% a year), and in the quarter ended June 30, 2026 honored about 2,400,000 of 7,256,000 shares holders asked to redeem. As of November 2, 2026. This is analysis of public documents, not investment, legal or tax advice.
Key Takeaways
- Final ratios (8-K filed May 4, 2026): Development eREIT 0.812, Equity REIT 1.368, East Coast Opportunistic 0.961, Growth eREIT II 1.299, Growth eREIT III 1.495, Midland Opportunistic 1.185, West Coast Opportunistic 0.947. The valuation time was 4:00 p.m. Eastern on April 28, 2026 and the merger took effect at 11:59 p.m. Eastern on April 29.
- Every final ratio was lower than the April 27 estimate, by 1.3% (West Coast) to 16.5% (Equity REIT) (our arithmetic). Each estimate equals the fund's December 2025 NAV per share divided by $10.00; each final ratio is the NAV per share on April 28 divided by the same $10.00 (form of merger agreement, section 1.3).
- The funds' own April 29 notices show where the NAV went against April 1: Equity REIT $13.68 against $15.78, East Coast Opportunistic $9.61 against $10.21, Growth eREIT II $12.99 against $13.38, Development $8.12 against $8.29; Growth eREIT III was $14.95 against $14.92.
- Distributions payable at June 30, 2026 totaled $38.1 million, substantially all of it owed to holders of record of the old funds: about $31.9 million Equity REIT, $4.0 million East Coast, $1.9 million Growth eREIT II, $50,000 West Coast. Averaged over each fund's shares that is about $2.19, $0.53, $0.25 and $0.01 an old share (our arithmetic). We found no payment notice as of November 2, 2026.
- Seven funds' shares times their final ratios give 59,413,674 new shares (our arithmetic), within 265 shares of the 59,413,939 issued at June 30, 2026 in the 10-Q. The prospectus had expected about 65.4 million.
- The seven funds' net assets on April 29 add to $594.1 million, which is $10.00 a share on 59.41 million shares (our arithmetic). The July 1, 2026 NAV of $9.87 is 1.3% below that (our arithmetic).
- The exit rules changed: the old plans targeted up to 20% of shares a year; the eREIT plan targets 10% a year, 2.50% a quarter, which the manager may raise to 5.00%. For the quarter ended June 30 it used 4.00%, and about 4,856,000 of the 7,256,000 shares requested (66.9%, our arithmetic) were not honored.
- Two Fundrise eREITs were not in the merger. Fundrise Growth eREIT VII and Fundrise Balanced eREIT II still file Form 1-U (latest November 2, 2026), with assumed purchase prices of $8.26 and $9.27.

Fundrise eREIT merger of April 29, 2026: ratios, NAV history, shares, unpaid distributions and redemptions of the seven funds
218 rows from the Form 424B3, Form 8-K, seven Forms 1-U, the Q1 and Q2 2026 10-Qs and the monthly 8-Ks of Fundrise eREIT, LLC: estimated and final ratios, NAV per share, shares and net assets, ten quarters of NAV history, unpaid distributions, redemption terms.
What happened, in order
The merger was between affiliates under one manager, Fundrise Advisors, LLC, and the filings say shareholders had no vote and no appraisal rights: the information statement says “YOUR APPROVAL OF THE MERGERS IS NOT REQUIRED.” It also says no fairness opinion was obtained. The seven merged funds were Regulation A funds; the surviving company, formed on October 16, 2025, reports on Forms 10-Q and 8-K. That is why the numbers below can be read from SEC filings.

The seven ratios, estimate against final
The 8-K says each ratio is the merging fund's NAV per share at the valuation time divided by the eREIT's NAV per share. The form of merger agreement attached to the prospectus fixes that denominator at $10.00 (section 1.3), and the prospectus calls the $10.00 “a legal pricing convention used to determine exchange ratios and the number of shares issued.” Multiplying a ratio by $10.00 therefore gives the old fund's NAV per share (our arithmetic).
| Merged fund | Estimated ratio (April 27) | Final ratio (May 4 8-K) | Change (our arithmetic) | NAV per share April 29 |
|---|---|---|---|---|
| Fundrise Development eREIT | 0.866 | 0.812 | -6.2% | $8.12 |
| Fundrise Equity REIT | 1.639 | 1.368 | -16.5% | $13.68 |
| Fundrise East Coast Opportunistic REIT | 1.074 | 0.961 | -10.5% | $9.61 |
| Fundrise Growth eREIT II | 1.343 | 1.299 | -3.3% | $12.99 |
| Fundrise Growth eREIT III | 1.570 | 1.495 | -4.8% | $14.95 |
| Fundrise Midland Opportunistic REIT | 1.211 | 1.185 | -2.1% | $11.85 |
| Fundrise West Coast Opportunistic REIT | 0.959 | 0.947 | -1.3% | $9.47 |
The 8-K also says “The total value of Fundrise eREIT shares that shareholders received in the Mergers was the same as the total value of the shares of such Fundrise Merger Entity that shareholders held immediately prior to the Effective Time.” No sales charges or redemption fees were imposed. The prospectus describes each merger as intended to be a tax-free reorganization under Section 368(a) of the Code, adds that a legal opinion to that effect was not a closing condition and that the IRS may take a different position, and tells holders to consult a tax adviser.
What you received: shares, not dollars
Each Form 1-U filed on April 29, 2026 gives the fund's shares outstanding, which did not change between April 1 and April 29. Multiplying by the final ratio gives the eREIT shares each fund's holders received. The last column is the share the prospectus expected on April 27.
| Merged fund | Holders of record, April 1 | Shares outstanding, April 29 | eREIT shares received (our arithmetic) | Share of eREIT shares (our arithmetic) | Share expected April 27 |
|---|---|---|---|---|---|
| Development eREIT | 90,964 | 8,363,261 | 6,790,968 | 11.4% | 11.1% |
| Equity REIT | 91,640 | 14,573,663 | 19,936,771 | 33.6% | 36.8% |
| East Coast Opportunistic | 84,743 | 7,535,317 | 7,241,440 | 12.2% | 12.3% |
| Growth eREIT II | 64,209 | 7,502,700 | 9,746,007 | 16.4% | 15.1% |
| Growth eREIT III | 39,006 | 2,626,737 | 3,926,972 | 6.6% | 6.4% |
| Midland Opportunistic | 50,539 | 5,197,253 | 6,158,745 | 10.4% | 9.6% |
| West Coast Opportunistic | 70,084 | 5,926,897 | 5,612,771 | 9.4% | 8.7% |
| Total | 491,185 (one count per fund) | 51,725,828 | 59,413,674 | 100% | 100% |
The total row's new shares, 59,413,674, are within 265 shares of the 59,413,939 shares the Q2 10-Q balance sheet shows as issued at June 30, 2026 (our arithmetic; the difference is consistent with rounding of fractional shares, which the filings do not describe).
Why the ratios fell: the three steps
Three different NAVs are in the record for each fund, and the ratio changed because the fund's NAV did.
- December 31, 2025. The estimated ratios equal the December 2025 NAV per share divided by $10.00 (Equity REIT's was set on December 29, 2025 after its merger with the eFund): $8.66, $16.39, $10.74, $13.43, $15.70, $12.11 and $9.59, the same order as the table above (our arithmetic).
- April 1, 2026. The quarterly NAV in the prospectus was lower than December 2025 for all seven funds.
- April 29, 2026. The valuation of April 28 was lower again for six of them, and sharply so for Equity REIT.
| Merged fund | NAV Dec 2025 | NAV April 1 | NAV April 29 | Change April 1 to 29 (our arithmetic) | Declared, unpaid cash per old share (our arithmetic) |
|---|---|---|---|---|---|
| Development eREIT | $8.66 | $8.29 | $8.12 | -2.1% | none listed |
| Equity REIT | $16.39 | $15.78 | $13.68 | -13.3% | about $2.19 |
| East Coast Opportunistic | $10.74 | $10.21 | $9.61 | -5.9% | about $0.53 |
| Growth eREIT II | $13.43 | $13.38 | $12.99 | -2.9% | about $0.25 |
| Growth eREIT III | $15.70 | $14.92 | $14.95 | +0.2% | none listed |
| Midland Opportunistic | $12.11 | $11.92 | $11.85 | -0.6% | none listed |
| West Coast Opportunistic | $9.59 | $9.52 | $9.47 | -0.5% | about $0.01 |
The biggest drops belong to the funds that had declared cash distributions before closing. The Q2 10-Q, Note 8, says that of $32.1 million of distributions declared in the quarter, “approximately $31.9 million was declared in the second quarter of 2026 prior to the closing of the Merger April 29, 2026,” and that these “are payable solely to investors who were shareholders of record of Fundrise Equity REIT, LLC as of the applicable declaration dates, and are not payable to shareholders who joined the Company through the Merger from the other Merger Entities.” It adds that the eREIT assumed about $6.0 million of declared but unpaid distributions of other merging funds: East Coast about $4.0 million, Growth eREIT II about $1.9 million and West Coast about $50,000. Equity REIT's own April 29 notice shows its net assets falling from $229,900 thousand on April 1 to $199,336 thousand on April 29 while its share count stayed at 14,573,663. The filings do not draw the line from the distribution to the ratio; that connection is our reading, and the per-share cash figures are averages because distributions follow daily record dates.
On that reading, an Equity REIT holder's old share was worth about $13.68 in eREIT shares plus about $2.19 in a declared cash distribution, a total of about $15.87, against a $15.78 NAV on April 1 (our arithmetic). The same sum for East Coast is about $10.14 against $10.21, and for Growth eREIT II about $13.24 against $13.38. The $38.1 million payable at June 30 is the cash side of this.
Worked example: 1,000 old shares (our arithmetic)
The first value column uses the $10.00 convention at the merger; the second uses the $9.87 NAV that took effect on July 1, 2026. Neither includes the monthly distribution.
| If you held 1,000 shares of | eREIT shares received | Value at $10.00 | Value at $9.87 (July 1) | Declared cash still owed, average |
|---|---|---|---|---|
| Development eREIT | 812 | $8,120 | $8,014 | none listed |
| Equity REIT | 1,368 | $13,680 | $13,502 | about $2,189 |
| East Coast Opportunistic | 961 | $9,610 | $9,485 | about $531 |
| Growth eREIT II | 1,299 | $12,990 | $12,821 | about $253 |
| Growth eREIT III | 1,495 | $14,950 | $14,756 | none listed |
| Midland Opportunistic | 1,185 | $11,850 | $11,696 | none listed |
| West Coast Opportunistic | 947 | $9,470 | $9,347 | about $8 |
At the daily rate of $0.0000684930 a share, one year pays $0.025 a share, or $25 on 1,000 shares (our arithmetic).
The merged fund since April 29
| What | The filing says | Source |
|---|---|---|
| NAV per share | $9.87 from July 1, 2026; NAV $586,000 thousand on 59,401,082 shares; the distribution 8-Ks of October 1 and November 1, 2026 still assume $9.87 | 8-Ks, July 1, October 1 and November 1, 2026 |
| Components of that NAV | Real estate $677.4M, other investments $128.2M, mortgage notes and credit facilities $(139.1)M, related-party note $(80.7)M, distributions payable $(38.0)M | 8-K, July 1, 2026 |
| Distribution | $0.0000684930 a share a day for each month from May to November 2026, about 0.25% a year; November's is scheduled to be paid before January 21, 2027 | Monthly 8-Ks |
| Balance sheet at June 30 | Total assets $819.8M, liabilities $279.4M, cash $43.6M, distributions payable $38.1M, redemptions payable $23.8M | 10-Q, Q2 2026 |
| Fee | Asset management fee at an annualized 0.85% of NAV, which the manager may set up to 1.00%; investment management fees of about $1.5M in the six months to June 30 | 424B3 and 10-Q |
| Merger costs | About $1.6M of expenses, $480,000 of portfolio transaction costs borne by the eREIT, and about $2.9M the manager spent on a merger structure that was not consummated, to be reimbursed by the eREIT at no more than 0.50% of NAV a month | 424B3 |
| Net result, six months | Net loss $6.9M; Equity REIT is the accounting predecessor, so periods before April 29 are its own | 10-Q, Q2 2026 |
Exit rules before and after
| Term | Old funds | Fundrise eREIT |
|---|---|---|
| Target maximum redeemed a year | 20% of outstanding shares | 10% of NAV, manager may go to 20% |
| Limit per quarter | Not given in the comparison we read | 2.50% of NAV, manager may raise it to 5.00% |
| Largest single request | Not given in the comparison we read | 5,000 shares or $50,000, whichever is less |
| Price | Percent of NAV, set by holding period | 99.0% of NAV if held under 5 years from settlement, 100.0% after; old holding periods carry over |
| Can the manager suspend it? | Yes, and it did: plans were suspended pending the merger | Yes, at any time |
| Requests above the limit | Requests not fully honored are terminated and must be resubmitted (wording in at least one old fund's plan, amended effective November 17, 2023) | Pro rata; requests not fully honored are terminated and must be resubmitted |
| Latest result | n/a | Q2 2026: 7,256,000 shares requested, about 2,400,000 honored at about $9.99, 4,856,000 not honored |
The prospectus puts the resubmission rule this way: “the redemption requests not fully honored will be terminated, and will need to be resubmitted if they are to be considered in any future date on which redemptions are being honored.” The Q2 10-Q says the 4,856,000 shares “remain outstanding as of June 30, 2026” and “were not honored,” without saying whether they carry over, so the plan text is the place to check. Our Fundrise review tracks the same queue against NAV (about $47.9 million, 8.2% of NAV at $9.87, our arithmetic).
What the filings leave open
- Whether the $38.1 million has been paid. The Q1 10-Q says the Equity REIT distribution “will be paid following the consummation of the 2026 Merger on a date to be determined by the Manager; however, such payment will be made no later than December 31, 2026.” The Q2 10-Q says all distributions payable at June 30 “will be paid within twelve months.” We found no payment notice among filings through November 2, 2026. The Q2 10-Q lists unrestricted cash, repayments of loans from affiliated funds and, if necessary, asset sales as sources, and says those depend on “management plans and the actions of third parties.”
- The September 30 NAV and quarter's redemptions. The October 1 and November 1 8-Ks assume $9.87 and carry no new NAV or redemption result. The Form 10-Q for the quarter ended September 30, 2026 should have both; on a 45-day deadline that falls on Saturday, November 14, so Monday, November 16, 2026 (our arithmetic).
- Why the manager chose a $10.00 reference. The prospectus calls it a pricing convention and says any gap between the stated value of shares issued and Equity REIT's net assets is carried in equity, with no remeasurement of assets. The filings do not give an independent check on the old funds' April 28 NAVs, and the prospectus says no fairness opinion was obtained.
- An earlier plan. The prospectus mentions about $2.9 million spent on “a merger structure that was not consummated” without naming it. EDGAR shows Fundrise Real Estate Interval Fund II, LLC (CIK 2053084) filed merger registration forms (N-14) through October 9, 2025 and nothing since; whether that is the structure the prospectus means is not stated.
Fundrise eREITs that did not merge
Seven funds merged; others did not. Fundrise Growth eREIT VII (CIK 1804011) and Fundrise Balanced eREIT II (CIK 1803986) each filed a Form 1-U on November 2, 2026 declaring the same $0.0000684930 a day, at assumed purchase prices of $8.26 and $9.27 (about 0.30% and 0.27% a year). They are separate Regulation A funds with their own NAVs. The Flagship and Income funds are registered interval funds and were not part of this merger either; the Flagship review sets the Flagship fund against the eREIT line by line, and the September repurchase analysis covers its exit offer.
What a reader can do with this
- If you held one of the seven funds: find the fund's name on your statement and read its row above. The eREIT shares you were issued should equal your old shares times the ratio, so a mismatch is a question for Fundrise support. The cash distribution owed to Equity REIT, East Coast and Growth eREIT II holders is separate from the shares.
- If you compare a fund's old NAV history with your account value: the NAV table in the data file gives ten quarter-end NAVs per fund from December 30, 2023 to April 1, 2026, so you can see which part of the move was the merger and which was before it.
- If you want to leave: the plan limits and the 99.0% price for holdings under five years are in the table above, and the queue at June 30 was larger than a quarter's base limit. How other Fundrise products and platforms handle exits is compared in real estate crowdfunding liquidity in 2026 and the Fundrise portfolio comparison.
- Next filings to read: the Form 10-Q for September 30, 2026 (due about November 16), any 8-K on payment of the pre-merger distributions, and the December 1 distribution 8-K.
