Quick Answer

Independence Realty Trust (NYSE: IRT) agreed on September 8, 2026 to buy Centerspace (NYSE: CSR, SEC CIK 798359) in an all-stock deal: each CSR share becomes 3.8 IRT shares, with cash for fractions. At IRT's $15.91 close on September 8 that was $60.46 per CSR share, a 14.70% premium to CSR's $52.71. By October 2, 2026 IRT had closed at $14.51, so the same ratio was worth $55.14 (CSR closed at $54.50). The ratio is fixed. CSR holders would own about 22% of the combined company. Both companies vote on November 10, 2026; CSR needs a majority of all outstanding shares, so not voting counts as a vote against. Closing is expected as early as the end of the fourth quarter of 2026. Dividends change: CSR pays $0.77 a quarter, while IRT's $0.18 times 3.8 is $0.684 (our arithmetic). The break fees are $45 million if CSR walks and $60 million if IRT does. As of October 19, 2026, CSR's latest filing is the October 7 proxy; after closing it will stop filing with the SEC.

Key Takeaways

  • The value moves with IRT, not with CSR. The ratio is fixed at 3.800, so every $1.00 move in IRT is $3.80 per CSR share (our arithmetic). IRT fell 8.80% from $15.91 to $14.51 between signing and October 2, 2026 (our arithmetic), which took the implied value from $60.46 to $55.14. The proxy gives the range through October 2 as $55.10 to $60.46.
  • The dividend per CSR share falls by about 11% after closing, if IRT keeps $0.18. CSR declared $0.77 in the second quarter of 2026 ($3.08 a year). IRT declared $0.18, which is $0.684 per CSR share at 3.8 ($2.736 a year). The gap is $0.344, or 11.2% (our arithmetic). In the quarter that closing falls in, CSR may pay only a prorated stub of up to $0.09.
  • IRT was the only bidder who put an offer in writing that the CSR board could act on. The proxy says that in the 12 months after IRT's first letter “IRT remained the only counterparty to make an actionable proposal to acquire CSR.” Cash proposals of $68 (from a 4.9% holder who would not sign a confidentiality agreement), $65 (a bidder that could not finance it) and $65 (no committed financing) did not become deals.
  • The price went up three times, but not to where CSR asked. IRT's ratio went 3.625, 3.675, 3.725, then 3.800 on August 23, 2026, which IRT called “best and final.” CSR's board had countered at 3.95, which at IRT's $15.91 close is $2.39 more per CSR share than 3.8 (our arithmetic).
  • Closing is not in CSR holders' hands after the vote. IRT can defer closing until lender consents arrive, but not later than ten business days before June 30, 2027. The proxy says debt agreements covering substantially all of CSR's debt have change-of-control provisions, and IRT has a $716 million Royal Bank of Canada term loan commitment as a back-up.
  • A tax-free swap is the plan, not a guarantee. The Company Merger is intended to be a reorganization under Section 368(a), and the only taxable item in that case is cash for a fractional share. Basis and holding period carry over. No IRS ruling was requested, and if the merger failed to qualify each CSR holder would generally recognize gain or loss.

What the deal is, and three corrections to the usual summary

Three details are often wrong in summaries of this deal. The agreement was signed on September 8, 2026 and announced by press release on the morning of September 9, 2026. IRT's “Alternative Structure” election of September 22, 2026 applies only to the Company Merger (the one that affects CSR shareholders), not to the partnership merger. And the 22% figure is not shares alone: the proxy says it covers “legacy CSR shareholders and CSR OP Common Unit holders” of the combined shares and units.

In plain terms: CSR merges into a wholly owned IRT subsidiary (Islanders Sub, LLC) and ceases to exist as a separate company. IRT keeps its name and its NYSE ticker. Centerspace's operating partnership survives as a subsidiary of IRT's operating partnership.

Price: what 3.8 shares were worth, and are worth now

The proxy prints two data points. Both implied values are the ratio times IRT's price, not a cash price.

CSR's price moved up 3.40% over the same stretch (our arithmetic) while the value of what it converts into fell. We did not use any price after October 2, 2026, because the proxy is the last primary source with both prices. A live quote is the only way to see today's spread.

How the offer got from 3.625 to 3.8

The proxy's “Background of the Mergers” is unusually specific. All figures below are from it.

Aug 23, 2026Fourth IRT proposal, agreed3.800, which IRT called its “best and final offer”

Read it with its limits. The $68 and $65 cash figures are proposals from anonymous parties; the proxy says none of them became a negotiated offer, and its summary is the board's account. Also the board in that same proxy writes that “greater value for the shares of CSR Common Stock might have been received if a different liquidity event had been pursued, either currently or in the future,” listed as a negative factor it weighed.

Dividends: what changes for a CSR holder

CSR declared $0.77 per common share for the second quarter of 2026 and $1.54 for six months (10-Q). IRT declared $0.17 for the first quarter and $0.18 for the second (10-Q). The merger agreement caps the regular quarterly dividend before closing at $0.77 for CSR and $0.18 for IRT, and the investor presentation says IRT expects to maintain its $0.18.

Per CSR shareCSR standaloneIRT dividend on 3.8 sharesDifference
Quarterly$0.77$0.684-$0.086
Annual (four quarters)$3.08$2.736-$0.344, or -11.2%
Annual yield on the October 2, 2026 prices5.65% ($3.08 on $54.50)4.96% ($2.736 on $55.14)-0.69 points

All three rows are our arithmetic from the figures above. They assume IRT keeps paying $0.18, which no document guarantees.

The quarter the deal closes

The agreement does not let CSR pay its regular dividend in the quarter in which closing happens. It may instead pay one cash dividend of up to $0.09 a share for the whole quarter, prorated by days elapsed, to holders of record the business day before closing, paid on the closing date. The formula in the agreement is $0.09 divided by the days in the quarter, times the days elapsed before the closing date. IRT cannot set a record date earlier than one business day after closing without CSR's consent, and the two companies must coordinate so that CSR holders do not receive more than one dividend, or miss one, in any quarter.

The third-quarter 2026 CSR dividend was declared on September 3, 2026, five days before signing. The agreement says both companies pay their regular dividend for the quarter ending September 30, 2026 before the merger takes effect.

If closing isCSR regular dividendCSR stub dividend (max)IRT dividend after closing, if $0.18Total per CSR share in that quarter
December 31, 2026 (the earliest the companies say)None allowed in Q4$0.0890 (0.09 x 91 / 92 days)$0.684 (3.8 x $0.18)About $0.773
February 15, 2027 (illustration)$0.77 for Q4 2026 is allowed if its record date is by December 31$0.045 (0.09 x 45 / 90 days)$0.684About $0.729 for Q1 2027

Both rows are our arithmetic from the agreement's formula; the IRT payment is our reading of its coordination clause and depends on IRT's board declaring $0.18. The stub is why the closing quarter looks close to $0.77: $0.089 plus $0.684 is $0.773. After that quarter the comparison is the $0.684 against $0.77 in the table above.

One more dividend item the lead may not mention: in its August 11, 2026 8-K, CSR said it expected to use sale proceeds “to issue a potential special distribution of between approximately $50.0 million and $60.0 million.” The merger agreement permits extra dividends only as a REIT Dividend, the minimum needed to keep REIT status or avoid income or excise tax, payable only in cash. Such a dividend changes the ratio: a CSR REIT Dividend reduces it by the dividend per share divided by $16.09, and an IRT REIT Dividend raises it. We found no declared REIT Dividend in the filings read.

Final vote results are due in an 8-K within four business days of certification. Shares held in street name cannot be voted by the broker without instructions, and the proxy says a failure to instruct has the same effect as a vote against the CSR Merger Proposal. CSR trustees and executive officers hold about 0.5% of the shares and IRT directors and officers about 0.8% of IRT's; neither group is bound to vote.

Conditions, break fees and deal protection

VotesCSR holders adopt the merger; IRT holders approve the issuance of shares
Other conditionsForm S-4 effective, NYSE listing of the new IRT shares, no injunction, accurate representations, no material adverse effect, a tax opinion to CSR that the merger is a reorganization, and REIT-status opinions from each side
Lender consentsNot a condition for CSR's benefit: IRT may delay closing until the earlier of ten business days after the needed lender consents or the tenth business day before June 30, 2027
CSR pays IRT $45 millionIf CSR takes a superior proposal, changes its recommendation, or in specified cases when a takeover proposal was public and CSR completes or signs another deal within 12 months (our summary of the proxy)
IRT pays CSR $60 millionIf IRT changes its recommendation, or in specified cases when its holders vote no or the deal times out after a public takeover proposal and IRT does another deal within 12 months
Size of the fees$45 million is 4.4% of the CSR share value at signing; $60 million is 1.6% of IRT's (our arithmetic: 16,823,940 x $60.46 and 235,726,706 x $15.91)
No-shopReciprocal. IRT may not terminate to take a superior proposal, but its board may change its recommendation

The asymmetry is deliberate: the proxy says the parties negotiated an IRT fee of $60 million after CSR asked for $160 million. The fee is also paid into escrow and released only as far as REIT income tests allow.

The combined portfolio, from the companies' own tables

The first table is the joint investor presentation of September 9, 2026. Leverage rows are the companies' forecast for December 31, 2026, not a reported figure.

The same presentation puts the pro forma net operating income at Sunbelt 58%, Midwest 27% and Mountain West 15%, and the companies identify about $24 million of annual synergies ($19 million corporate, $5 million property) and approximately 5% accretion to 2027E Core FFO per share. Risks that are specific to this deal

The proxy's risk factors are long. These are the ones that depend on this pair of companies, not on any merger.

  • A fixed ratio against a falling buyer. IRT's price drop since signing is a cost to CSR holders, because the proxy says they “will be adversely affected by any decrease in the trading price of IRT Common Stock.” No collar or walk-away protects them.
  • Lender consents. The proxy says “Debt agreements covering substantially all of CSR’s indebtedness include such provisions” (change of control, with a right to demand repayment). IRT may delay closing until those consents arrive and has a Royal Bank of Canada commitment for up to $716,000,000 of senior unsecured term loan (364 days plus two six-month extensions, SOFR plus 80 to 160 basis points). The loan is not a closing condition.
  • Tax protection agreements. The combined company is expected to assume agreements that make it indemnify certain former property owners if it sells specified properties in a taxable deal, and to maintain minimum debt levels. The proxy says they may make a sale “economically prohibitive.”
  • The IRT vote. IRT holders can reject the share issuance, and IRT cannot walk to take a better offer. Its board can change its recommendation and the vote still has to be held.
  • No appraisal rights. A CSR holder who votes no is still bound if the majority votes yes, and cannot demand a court-set fair value.
  • A leveraged target. The companies' own table has CSR at 7.5x net debt plus preferred to adjusted EBITDA against 5.8x at IRT. CSR's board cited the importance of scale and its higher cost of capital as reasons for the deal.
  • Litigation. The proxy says deals like this are often challenged and an adverse outcome could affect closing. We did not find any complaint in the filings read; law-firm press releases about “investigations” are not court filings.

Tax: what the proxy says

The proxy says the Company Merger is intended to qualify as a reorganization under Section 368(a) of the Internal Revenue Code and that closing is conditioned on a tax opinion delivered to CSR. If it does, U.S. holders of CSR shares generally recognize no gain or loss on the swap. Cash received in lieu of a fractional share of IRT stock is the only taxable item for a U.S. holder if the merger qualifies as a reorganization. Basis in the IRT shares equals basis in the CSR shares given up (less any part allocated to a fractional share), and the holding period carries over. Holders with several purchase blocks are pointed to Treasury Regulations to allocate basis and holding period.

Two limits are in the proxy itself. The opinion is “not binding on the Internal Revenue Service,” and neither company has requested a ruling. If the merger failed to qualify as a reorganization, each CSR holder would generally recognize gain or loss equal to the value received minus basis. Selling CSR before closing is an ordinary taxable sale, not part of the reorganization. For reporting sales, see Form 8949 and Schedule D for REIT and BDC sales; for dividend character, REIT distributions and return of capital.

What a holder can do with this

This page is analysis of public documents, not investment, legal or tax advice. What the documents let you check:

  • Vote, or deliberately don't. The CSR proposal needs a majority of all outstanding shares, so a missing vote counts against. The control number on your proxy card (or your broker's voting instruction form) is the way in; the meeting is virtual on November 10, 2026. You can change a vote until the meeting.
  • Price your own exchange. Multiply the ratio by a live IRT quote and compare it with CSR's quote. The proxy's October 2, 2026 figures are $55.14 and $54.50, and every $1.00 of IRT is $3.80 per CSR share.
  • Compare income, not just price. Use $0.684 against $0.77 a quarter, and remember the closing quarter has its own stub formula.
  • Find your cost basis now. If the swap is tax-free, basis carries over; your broker's lot report is the starting point for each purchase block.
  • Compare with the other deal in your portfolio. IRT's last big merger, with the Steadfast REITs, is documented in what happened to the Steadfast REITs. For an apartment REIT peer, see Mid-America Apartment (MAA), and for how a listed REIT merger is documented, the AvalonBay page.
